Biography

Sarah E. Rosales is an associate in the Transactional Group of Baker McKenzie's Houston office. Sarah first joined Baker McKenzie in 2016 as a summer associate. In addition to her time in the Houston office, she spent 6-months in the Baker McKenzie Bogotá, Colombia office working as a foreign legal consultant.

Practice Focus

Sarah's practice focuses on mergers, acquisitions and global corporate restructurings. She represents companies in a broad range of corporate and transactional matters, including corporate governance issues and general corporate law matters. She has experience in cross-border and multijurisdictional transactions, including mergers, stock and asset acquisitions as well as post-acquisition integrations, pre-acquisition structurings, supply chain reorganizations and strategic tax structurings.

Sarah also assists clients with the formation and ongoing governance of domestic and foreign subsidiaries, as well as advising on documenting intercompany transactions. Sarah has spent time seconded to the Corporate Secretarial Departments of two different clients, giving her insight and direct experience managing in-house teams.

Representative Legal Matters

  • Advised Brookfield Asset Management on the global aspects of its USD 1.7 billion acquisition of nVent Electric’s Thermal Management business.
  • Advised Sonoco LP on its strategic acquisition of key liquid fuels terminals in Amsterdam, Netherlands and Bantry Bay, Ireland.
  • Advised Johnson & Johnson on its USD 50 billion spin-off of Kenvue, its consumer health business.
  • Advised McAfee Corp. on the divestiture of its Enterprise business to Symphony Technology Group for USD 4.0 billion.
  • Advised The Nielsen Company on its divestiture of Nielsen IQ to Advent International for USD 2.7 billion.
  • Advised Becton Dickinson and Company (BD) on the USD 1.1 billion spin-off of Embecta Corp.
  • Represented a large-family-owned company in its strategic disposition of its hotel-related A/V business to the portfolio company of a large private equity firm.
