Biography

Marie Roschelle is a senior associate with over ten years of experience advising multinational companies on corporate transactions, regulatory compliance, and emerging technologies. Since joining Baker McKenzie in 2016, she has built a practice focused on M&A, AI, and data privacy. She advises on cross-border transactions, corporate reorganizations, foreign investment structures, and complex commercial agreements, and compliance matters. Marie also brings academic proficiency in environmental law, sustainability, and ESG. Recognized by Legal 500 as a Leading Associate (2025–2026), she is a Chevening Scholar and an active researcher and speaker on AI and digital governance.

Practice Focus

Marie advises national and multinational clients in major cross‑border M&A transactions, foreign investments, and complex corporate reorganizations involving Venezuela and multiple jurisdictions. She has significant experience in the contractual and implementation aspects of M&A deals, including due diligence, drafting and negotiating transaction documents, and structuring distribution and commercial arrangements across regulated sectors.

She regularly provides comprehensive corporate counseling, including corporate governance and best practices, and conducts analysis on securities, banking, and foreign‑exchange regulations relevant to international operations. Marie has actively led and participated in global reorganization projects for major multinational groups and has extensive experience with the incorporation, dissolution, and liquidation of legal entities. In addition, she is engaged in matters involving AI, blockchain, and emerging technologies, complementing her transactional practice.

Representative Legal Matters

  • Advised Grupo UMA, S.A. on regulatory approvals needed in Venezuela for the import of motorcycles from Colombia. Grupo UMA is the merger of 2 business groups from Central America and the Caribbean with more than 50 years of experience in different sectors such as energy, automobiles, among others, with presence in a number of countries in the Latin American and Caribbean regions.
  • Advised on several global spin-off transactions of major companies in the power sectors.

Corporate Responsibility

Marie participated in The Justice in Action Pro Bono Sprint "Where We Are Watching: AI and Facial Recognition in the Justice Systems of the World" conducting comprehensive legal research, together with the assigned team, on Colombia’s regulatory framework regarding artificial intelligence and facial recognition technologies within the justice system, including analysis of existing legislation, public policy initiatives, regulatory proposals, implementation by authorities, children's rights, and relevant international standards.

Marie worked with Eugenio Hernández-Bretón in the pro bono project for Google "The Legal Atlas for Street Children" documenting the status of laws which protect the right of street children in Venezuela.

Firm Committee Memberships

Marie is a member of the Sustainability Committee of the Caracas Office since 2016. She is currently in charge of (i) preparing monthly newsletters regarding the office's local sustainability/recycling initiatives; and (ii) coordinating all CSR matters of the Firm locally. She is acknowledged by the Firm as B-Green champion for the Local office.

Marie is part of the pilot program of the Firm "Innovation Ambassador Program" and recognized by the Firm as an Innovation Local Champion, which has the task of speak about the Firm's innovation strategy both internally and with clients, and lead and guide others in the innovation activities of the Firm. In the internal "Reinvent Challenge" Marie with her team was finalist representing LATAM Region.
