Biography

As a member of our transactional Energy and Infrastructure practice group, Luke has been advising on the development and financing of infrastructure projects across the MENA region for more than a decade. He acts for procurers, sponsors, lenders, contractors and other participants across a variety of sectors including renewables, conventional power, battery energy storage systems, desalination, water treatment, district cooling, ports, data centers, and social infrastructure.

Representative Legal Matters

Saudi Arabia

  • Acting for the Saudi Power Procurement Company on all aspects of SPPC’s ongoing procurement of the Rumah and Nairiyah IPPs, comprising four separate 1.8GW capacity CCGT power plants.
  • Acting for the Saudi Ports Authority (Mawani) in connection with the long-term concession arrangements for a container terminal on the east coast of Saudi Arabia.  
  • Acting for a global shipping operator in connection with a long-term concession arrangement for a container terminal on Saudi Arabia’s Red Sea coast.
  • Acting for a major Saudi developer in relation to the monetisation of the district cooling assets for its master development via a long-term concession. 
  • Acted for Catrion (a listed Saudi entity) in connection with the development of two major process facilities (catering and laundry) for the Red Sea ‘Giga Project’, which were procured on a 'Build-Own-Operate-Transfer' (BOOT) basis.
  • Acted for the State Properties General Authority of Saudi Arabia on the procurement of two major courthouse complexes on a BOOT basis, including developing the base tender package and project documents.
  • Advising a Saudi conglomerate on the proposed divestment of its multi-jurisdictional water business, including conducting vendor due diligence on desalination and sewage treatment projects in Saudi Arabia and Bahrain.
  • Advising a Saudi infrastructure investor in connection with its proposed acquisition of a stake in a toll road project in Saudi Arabia procured on a PPP basis. 
  • Acted as counsel to a confidential bidder for the privatization of ZATCA Customs Zones PPP.
  • Acted as sponsors counsel for a consortium comprising Nebras Power, KEPCO and Marafiq in connection with all aspect of the Consortium’s bid for the Taiba and Qassim IPPs.
  • Advised a Saudi developer in connection with its participation in a bid for the utilities concession for the Red Sea Giga Project, comprising multiple solar and wind generation assets, a battery energy storage system, eight sewage treatment plants, two seawater RO desalination plants, two district cooling plants, a municipal waste treatment facility, and supporting infrastructure. 
  • Advised Al Masane Al Kobra Mining Company, a leading mining company focused on base metal and precious metal mining in the Kingdom, on its IPO on the main market of the Saudi Exchange.  
  • Advised the Saudi Arabian Mining Company (Ma'aden) in relation to a long-term BOOT contract for a new processing facility. 
  • Advised the healthcare division of a Saudi conglomerate in connection with its bid for the operation of a number of radiology facilities on a PPP basis. 
  • Acted as sponsors’ counsel in connection with bids for the Arana, Hadda and Riyadh East Independent Sewage Treatment Plants (ISTP).
  • Acted as sponsors' counsel in connection with bids for the Dammam ISTP and the Jeddah Airport 2 ISTP, the first major STP's procured on a PPP basis in the Kingdom. 
  • Acted as lenders' counsel in connection with the winning bid for the Jeddah Airport 2 ISTP. 
  • Acted as lenders' counsel in connection with a bid for the Taif ISTP.
  • Acted as lenders' counsel in connection with a bid for the Yanbu 4 Independent Water Project (IWP).
  • Acted as lenders' counsel in connection with a bid for the Rabigh 3 IWP.
  • Acted as lenders' counsel in connection with a bid for the Saudi Aramco Jafurah Cogeneration Plant.
  • Acted as sponsors' counsel in connection with a bid for the Saudi Aramco Haradh and Wudayhi Residential Compounds and Industrial Facilities BOOT Project.
  • Acted as lenders' counsel in connection with a bid for the Saudi Aramco SPARK Office Buildings and Industrial Facilities BOOT Project.
  • Acted as lenders' counsel in connection with a bid for the Saudi Aramco Abu Ali Island Accommodation BOOT Project.
  • Acted as sponsors' counsel in connection with a bid for Wave 1 of the Saudi Schools Development Programme comprising the development and maintenance of 60 Schools on a PPP basis. 
  • Acted as lenders' counsel in relation to the expansion of a district cooling project in Mecca.
  • Acted as lenders' counsel in connection with the refinancing of an existing district cooling project and the financing of a separate greenfield district cooling project in Dhahran.

United Arab Emirates

  • Acted as sponsors' counsel in connection with a bid for the Mirfa 2 IWP.
  • Acted as lenders' counsel in connection with the winning bid for the development of the Taweelah IWP.
  • Acted as lenders' counsel in connection with a bid for the Al Dhafra Solar Independent Power Project (IPP).
  • Acted as lenders' counsel in connection with a bid for the Fujairah F3 gas-fired IPP.
