
Dr. Rafael Marimón Durá
Biography
Rafael Marimón Durá is an of counsel in the Corporate M&A department of Baker McKenzie's Madrid office. He joined the Firm in 2023.
Rafael is a full professor of commercial law at the University of Valencia, Spain. He has published over 200 articles and book chapters on commercial law, some of which are cited in case law. He has lead several research projects focused on company law, the regulation of shadow banking and banking contracts. He has also carried out several research stays at Ludwig-Maximilians-Universität München and the Max Planck Institute in Hamburg, Germany; the London School of Economics and Political Science and the University of Edinburgh in the UK; and the International Institute for the Unification of Private Law (UNIDROIT) in Rome, Italy.
Rafael has extensive national and international teaching experience at the undergraduate and postgraduate levels. Currently he directs the master's degree in LegalTech & Compliance Officer program and he is on the panel of professors for master's degree in International and European Union Studies and Business Law at the University of Valencia.
Practice Focus
Rafael's practice focuses on banking and financial markets, corporate law, commercial guarantees, insurance, insolvency, unfair competition and consumer protection, trademark law, and foundations.
He advises clients on corporate law and banking and financial markets matters, including mutual insurance companies, commercial guarantees and sureties, irregular marketing of complex financial products, public offerings of subscription and sale of shares in banking entities, regulatory prospects of shadow banking, compliance programs, valid economic purpose in corporate group restructurings, suitability conditions for trustees and good governance in banking foundations, shareholder agreements, treasury stock acquisition, directors' duties, and more.
