Pitso Kortjaas
Biography
Pitso Kortjaas is a partner in Baker McKenzie's Banking & Finance Practice Group in Johannesburg.
He has experience in both finance and debt capital markets and advises domestic and international banking, corporate and public sector clients.
He has represented and advised lenders (both local and international financial institutions), borrowers, arrangers, dealers and issuers on general corporate law matters and finance and debt capital markets transactions, which include structured finance, leveraged finance, real estate finance, acquisition finance, medium term note programmes, inward listings, convertible, exchangeable, and standalone bond transactions, including government bonds, combinations of debt and equity transactions, high yield bonds, secured bonds and securitisations.
Pitso also advised on the first sustainability-linked loan in South Africa, the continent’s first sustainability-linked bond on the JSE, as well as the first green bond listing on the JSE by a municipal entity in Africa.
Prior to joining Baker McKenzie, Pitso was a partner at a large South African law firm and joint head of its Consumer Goods, Services & Retail sector.

- Advised Harmony Gold Mining Company Limited on multi-tranche, multi-currency sustainability linked and green loan facilities made available by, amongst others, Absa Bank Limited (acting through its Corporate and Investment Banking division) and Nedbank Limited (acting through its Nedbank Corporate and Investment Banking division). *
- Advised Motus Holdings Limited and Motus Group Limited in relation in relation to various ZAR denominated sustainability linked facilities. *
- Advised FirstRand Bank Limited (acting through its Rand Merchant Bank division) on a revolving credit facility, with sustainability linked loan features, for Thungela Operations Proprietary Limited. *
- Advised The Standard Bank of South Africa Limited and Netcare Limited on the issuance of the first sustainability-linked bond in Africa. *
- Advised the underwriters in relation to an SEC registered offering of investment grade notes for Sasol Financing USA LLC guaranteed by Sasol Limited. *
- Advised Nedbank Limited, Old Mutual Life Assurance Company (South Africa) Limited, Old Mutual Insure Limited and Old Mutual Limited on the deregistration of the existing programmes for Old Mutual Life Assurance Company (South Africa) Limited and Old Mutual Insure Limited and the simultaneous establishment of a multi-issuer programme for Old Mutual Life Assurance Company (South Africa) Limited, Old Mutual Insure Limited and Old Mutual Limited. *
- Advised Simba Proprietary Limited and PepsiCo, Inc. on the financing made available to Simba Proprietary Limited for the purposes of the acquisition of Pioneer Foods Group Limited. *
- Advised Motus Holdings Limited in relation to a multicurrency facility, with sustainability linked loan features, made available by, amongst others, BNP Paribas, Sumitomo Mitsui Banking Corporation Europe Limited, J.P. Morgan Securities PLC, Mizuho Bank Ltd, AfrAsia Bank Limited, Barclays Bank PLC and Citibank N.A., London Branch. *
- Advised Imperial Holdings Limited and Motus Holdings Limited in relation to various facilities made available to Imperial Holdings Limited and Motus Holdings Limited by various local and international lenders for the purposes of, amongst others, unbundling the logistics and motor businesses. *
- Advised Absa Bank Limited (acting through its Corporate and Investment banking division), FirstRand Bank Limited (acting through its Rand Merchant Bank division), The Standard Bank of South Africa (acting through its Corporate and Investment banking division), Nedbank Limited (acting through its Nedbank Corporate and Investment Banking division), Investec Bank Limited (acting through its Corporate and Institutional banking division), the Development Bank of Southern Africa Limited in relation to ZAR facilities made available to the Trans-Caledon Tunnel Authority. *
- Advised Nedbank Limited (acting through its Nedbank Corporate and Investment banking division), Investec Bank Limited and FirstRand Bank Limited (acting through its Rand Merchant Bank division) in relation to senior facilities made available to Kagiso Media. *
- Advised HSBC Bank plc on an offer to purchase of outstanding notes for cash from existing holders of the notes listed on the New York Stock Exchange and the issue of new notes in exchange by the Government of the Republic of South Africa. *
- Advised The Standard Bank of South Africa Limited, Absa Bank Limited and the New Development Bank, in relation to the establishment of a ZAR 10 billion note programme on the JSE. *
- Advised Citigroup Global Markets Limited, JP Morgan Securities plc and Merrill Lynch International on the issue of USD denominated notes by Gold Fields Oregon Holdings (BVI) Limited on the Irish Stock Exchange. *
- Advised Sappi Limited on the issue by Sappi Papier Holding GMBH of Euro denominated notes on the Official List of the Luxembourg Stock Exchange. *
- Advised Standard Bank Group Limited and The Standard Bank of South Africa Limited on the establishment of the Standard Bank Group Limited ZAR 50 billion domestic medium term note programme on the JSE. *
- Advised the joint global co-ordinators and the joint bookrunners on the initial public offering and listing on the main board of the JSE of Dis-Chem Pharmacies Limited. *
- Advised Citigroup Global Markets Inc on the issue by the Government of the Republic of South Africa of USD denominated notes. *
- Advised FirstRand Bank Limited (acting through its Rand Merchant Bank division) in connection with the financing of a reverse takeover by Mediclinic International Limited of Al Noor Hospital Group. *
- Advised The Standard Bank of South Africa Limited and the City of Johannesburg Metropolitan Municipality on the issuance of the first green bond by a municipal entity in Africa. *
