Biography

Hayley Irons is a registered foreign lawyer in Baker McKenzie's Hong Kong office and a member of the Firm's Financial Services Practice Group. Her practice focuses on financial services and funds. She advises investment managers, pension schemes and other institutional investors in relation to fund establishment, fund management, strategic investment and cross-border transactions, and has experience within Europe, Greater China and the Asia Pacific region. Hayley acts for both sponsor and investor clients and has a particular depth of experience in advising clients on club funds, joint venture funds and platform investments, across a range of sectors.

Prior to joining Baker McKenzie, Hayley trained and practiced in London in the private funds group of a global UK law firm.

Representative Legal Matters

  • Advised Gaw Capital Partners in respect of its flagship Asia Pacific focused real estate funds, Gateway Capital Real Estate Fund VI and VII.

  • Advised Gaw Capital Partners on the structuring, formation and successful closing of its first commingled growth equity fund, Gaw Growth Equity Fund I.

  • Acted for pension fund manager APG Asset Management on its joint venture with CapitaLand Investment Limited to acquire the self-storage platform Extra Space.

  • Represented one of the largest pension funds in the world on its separate account transactions with global infrastructure, private equity and real estate fund managers. Also advised the client on its Model LPA for Fund-of-Fund Investment Platforms.

  • Advised APG Asset Management on the acquisition of a 20% stake in data center platform OneAsia.

  • Represented a major Asian monetary authority on its investments into numerous global and regional private equity, real estate, infrastructure and debt funds.

  • Advised Canada Pension Plan Investment Board on several joint ventures with CSI Properties to redevelop mixed-use real estate projects in Hong Kong, SAR. Advised Gaw Capital Partners on the formation of its Internet Data Center platforms in China, raising over USD 1.3 billion.

  • Advised APG and the Canada Pension Plan Investment Board on the establishment of a USD 1 billion joint venture with ESR Cayman Limited to invest in and develop a portfolio of institutional-grade industrial and warehouse logistics assets in South Korea.

  • Advised Gaw Capital Partners on various co-investments including into Japan logistics and retail assets in Hong Kong SAR, and alternative investment vehicles in India and Australia.

  • Advised APG on its investment into Greystar's Australian multifamily fund to develop build-to-rent-projects in Sydney and Melbourne.

  • Advised Caisse de dépôt et placement du Québec on a proposed co-investment into China.

  • Acted for Land Securities plc and Canary Wharf Group on the GBP 1.3 billion sale of 20 Fenchurch Street, London (known as the ‘Walkie Talkie’) to Lee Kum Kee.*

  • Advised Aviva Life & Pensions UK Ltd. on the restructuring, acquisitions and disposals of asset holding structures within their GBP 1 billion joint venture with PSP.*

  • Advised Blackstone on the GBP 385 million sale of 125 Old Broad Street to Singaporean developer City Developments Limited.*

  • Acted for AXA Investment Managers in establishing an Irish Collective Asset-Management Vehicle to facilitate a substantial joint venture with Kennedy Wilson to invest in the Irish private rented sector.*
