Victoria Grapci
Biography
Victoria Grapci is a senior associate in the Baker McKenzie London office’s Corporate practice. Victoria practices in corporate law and advises clients on corporate reorganisations and general English company law matters. She is a member of Baker McKenzie’s Global Reorganisations Group.
Victoria completed an 18-month secondment with an international client’s UK&I legal team as corporate affairs legal counsel to support their global business separation and two carve-out projects.
Representative Legal Matters
- On secondment:
- Acted as client’s UK&I corporate legal lead within the local project teams to implement two carve-out projects within short and strict timeframes and planned global separation.
- Coordinated and implemented UK&I reorganisation steps in preparation for global separation.
- Assisted the Group Legal and Group Treasury teams in renegotiating certain bank factoring arrangements as a result of the client’s global separation and carve-out sale activities.
- Advised on the internal subcontracting arrangements for over 20 of the client’s UK commercial customers in relation to their global separation, and prepared a legal checklist for the commercial leads navigating the internal negotiation and drafting of subcontracting agreements.
- Reviewed and updated the UK statutory registers of over 40 legal entities, and updated and maintained all internal company secretarial records.
- Reviewed the annual accounts of UK entities from a corporate legal perspective and liaised with the client’s auditors for compliance disclosures.
- Coordinated a multijurisdictional branch de-registration project for a global payment services provider.
- Planned and coordinated the implementation of a post-acquisition integration and clean-up of a global perfume and fragrances manufacturer.
- Coordinated and advised on the post-acquisition integration of a US-headquartered multinational delivery services company.
- Advised a multinational music, entertainment and technology client on the UK non-financial reporting obligations of over 50 entities within its UK group.
- Advised and implemented a debt restructuring for a leading global cyber security and network services provider within a strict timeline.
- Advised a global pharmaceutical manufacturing, wholesale and distribution company on its UK debt restructuring.
- Planned and coordinated the implementation of a discrete chain of distributions within a global company’s UK and Netherlands group structure operating in the car-servicing and repair industry.
- Advised and implemented balance sheet clean up and dissolution of redundant UK group companies, various clients and industries.
- Previous corporate legal and company secretary experience prior to qualification as solicitor, working within the Middle East, Near East, Africa and Türkiye (“MENEAT”) legal team at Japan Tobacco International (“JTI”):
- Maintained company secretarial records of over 20 entities in the MENEAT region within the JTI corporate governance database.
- Conducted quarterly reporting, tracked public registry filings and assisted local legal teams in implementing required corporate resolutions.
- Assisted the MENEAT group legal team with corporate compliance (Know Your Customer certifications) and ad hoc legal tasks.
