Sofia Elkina

Sofia's practice includes complex leveraged finance transactions and Rule 144A and Regulation S high yield debt offerings. Sofia also has experience advising on equity and investment-grade offerings, US securities law matters, acquisition finance transactions, debt exchanges and other liability management exercises, as well as alternative investment vehicles and syndicated credit facilities.

Before joining the firm, Sofia's experience included advising:

• Mars, Incorporated in a series of transactions to finance the contemplated acquisition of Kellanova, including a Rule 144A/Regulation S offering of USD 26 billion of senior notes, a private placement offering of USD 1 billion equivalent of senior notes and solicitation of consents from holders of Kellanova's USD 5.1 billion outstanding notes.
• J.P. Morgan Securities LLC and BofA Securities, Inc. in connection with the debt-for-equity exchange and secondary offering of Sandisk Corporation's common stock.
• Hovnanian Enterprises, Inc. in a series of multi-lien secured debt financing transactions, including private placements of USD 655 million senior secured notes and private debt exchange transactions.
• KKR & Co. Inc. in connection with its issuance of USD 900 million of senior notes.
• The initial purchasers, led by Goldman Sachs & Co. LLC, Santander US Capital Markets LLC and others, in connection with a Rule 144A/Regulation S offering by LATAM Airlines Group S.A. of USD 800 million of senior secured notes.
• The initial purchasers, led by J.P. Morgan Securities LLC, in connection with an offering by DoorDash, Inc. of USD 2.75 billion of 0% convertible senior notes.
• The initial purchasers in connection with a Rule 144A/Regulation S offering by Avis Budget Finance plc of EUR 600 million senior notes.
