Biography

Elizabeth Ebersole is a partner in the Employment & Compensation Practice Group in Baker McKenzie’s Chicago office and co-chairs the practice’s cross-border restructuring and employment solutions for the transactions team. Her practice centers on advising multinational employers on the full spectrum of cross-border employment law issues. Liz is a frequent contributor to the Firm’s thought leadership resources – including the Employer Report blog – and her work has been featured in a variety of external legal outlets. In 2024, she was recognized as one of Crain’s Chicago Business Notable Women in Law.

Practice Focus

For over 15 years, Liz has advised US-based multinational employers on strategic workforce planning. She provides comprehensive guidance to companies expanding into new jurisdictions, engaging talent, and navigating workforce challenges during major business transformation and corporate transactions.

Liz is a trusted advisor to both public and private companies on a wide range of domestic and international employment matters, with a focus on planning and executing complex cross-border transactions, including mergers, acquisitions, spin-offs, multi-country reorganizations, and post-acquisition integration. She has served as lead employment counsel for several multinational pharmaceutical and healthcare companies in high-profile deals.

A significant portion of Liz’s practice is dedicated to global strategic workforce engagement and planning, including initiatives related to inclusion, diversity, equity, and equal pay.

She also regularly advises on personnel policies, employee handbooks, offer letters, employment contracts, restrictive covenants, and cost-cutting measures.

In addition, Liz counsels multinational corporations on the responsible use of AI, addressing legal frameworks, AI ethics and governance, bias, and generative AI.

Representative Legal Matters

Liz has advised on employment matters for both buy-side and sell-side transactions across numerous public and private cross-border deals, including acquisitions, separations, spin-offs/carve-outs, restructurings, divestitures, and post-acquisition integrations – covering 60+ jurisdictions, including:

  • Kimberly-Clark in its strategic partnership with Suzano to create a preeminent international tissue and professional products company
  • Honeywell on the international aspects of its USD 2.16 billion all-cash acquisition of Sundyne from private equity firm Warburg Pincus
  • S&P Global with its intent to separate S&P Global Mobility (Mobility) into a standalone public company
  • Becton, Dickinson and Company on its USD 4.2 billion acquisition of Edwards Lifesciences’ Critical Care business, to be renamed BD Advanced Patient Monitoring
  • Baxter International Inc. in the divesture of its Vantive Kidney Care Segment to Carlyle and the spin-off of its biopharmaceutical business to Baxalta
  • Safran on the acquisition of Collins Aerospace
  • Vandemoortele in acquisition of Benneton Bakery
  • Abbott Laboratories on the acquisition of Cardiovascular Systems, Inc.
  • Merck & Co. in the acquisition of Cubist Pharmaceuticals
  • CommScope, Inc. in multiple transactions, including its acquisition of TE Connectivity's telecom, enterprise and wireless businesses
  • Johnson Controls on the spin-off of its automotive seating business to Adient
  • Physicians Realty Trust in merger with Healthpeak Properties
  • Cummins Inc. on the global reorganization of its filtration business and initial public offering of Atmus Filtration Technologies, Inc.
  • Amara NZero on the acquisition of Sunrgy Solar Distribution
