Andrea focuses her practice on corporate law, mergers and acquisitions, corporate structuring and transactional advisory.

She regularly advises multinational companies and business groups on acquisitions, corporate reorganizations, legal due diligence and investment structuring. She also provides ongoing corporate advice on governance matters and complex commercial contracts.

• Advised on the acquisition of a technology company in Colombia, including legal due diligence, transaction structuring and negotiation of the main transaction documents as part of a cross-border M&A transaction.
• Advised investors on the structuring of a joint investment for the development and expansion of agricultural and pharmaceutical operations in Colombia, including corporate structuring and negotiation of the relevant investment agreements.
• Advised a major retail group on the acquisition of assets from a national supermarket chain as part of a strategic expansion process in the Colombian market.
• Advised investors on the structuring and development of a large-scale commercial real estate project, including corporate structuring, investment agreements and governance arrangements for the project vehicle.
• Served as legal business partner and head of legal in Colombia for a multinational real estate and retail group, advising on all corporate, contractual and regulatory matters related to the company’s operations in the country.
• Acted as legal representative of a company dedicated to the development and operation of shopping centers and multifamily real estate projects, overseeing corporate governance, regulatory compliance and the implementation of strategic decisions.
• Participated in strategic real estate asset acquisition transactions in Colombia, including transaction structuring, negotiation of transaction documents and coordination of legal and financial advisors.
• Advised on the orderly wind-down and exit from the Colombian market of an international retail company, including the legal structuring of the exit strategy and management of related corporate and contractual matters.
• Advised multinational companies on the establishment of subsidiaries and branches in Colombia, including corporate structuring, regulatory compliance and ongoing corporate governance matters.
• Conducted legal due diligence processes in connection with domestic and international acquisitions, reviewing corporate, contractual and regulatory matters and advising clients on legal risk mitigation strategies.
