Biography

Emily Chan is a senior associate in the Commercial Practice Group in Baker McKenzie's Palo Alto office. Emily’s practice focuses on intellectual property, licensing, and technology-driven commercial transactions.

Prior to joining Baker McKenzie, Emily was an associate in the technology transactions practice of a leading Silicon Valley law firm.

Practice Focus

Emily has significant experience drafting and negotiating bespoke agreements in novel, technology-driven fields and advising clients on the strategic licensing of intellectual property. Her specific experience includes the following:

  • M&A and Corporate Transactions: Advising on management of intellectual property assets and liabilities in corporate transactions, including structuring and negotiating purchase agreements and ancillary agreements, and conducting due diligence on intellectual property assets (including leveraging AI technologies for diligence).
  • AI Transactions: Drafting and negotiating AI agreements with vendors, customers, and transactions such as AI addenda and data license agreements.
  • Strategic Licensing: Advising clients on strategic licensing and monetization of intellectual property assets, including structuring, drafting, and negotiating licensing and partnership agreements.

Emily’s experience spans multiple industries, including technology (software and hardware), consumer goods and retail, and entertainment and media.

M&A – Intellectual Property and Technology

  • Advised BizLink Holding Inc. on its acquisition of Interplex Datacom.
  • Advised Marvell Technology, Inc. on its acquisition of Polariton Technologies.
  • Advised Synaptics Incorporated on its agreement to be acquired by onsemi.
  • Advised Coinbase on its minority investment in DCX Global Limited. 
  • Advised ServiceNow on its acquisition of Pyramid Analytics.
  • Advised Intel on the sale of assets related to an open-source project to Hewlett Packard Enterprise Company.
  • Advised Rubrik, Inc. on its acquisition of Backrightup.
  • Advised Owens Corning on the divestiture of its glass reinforcements business.
  • Advised Seiko Epson Corporation on its acquisition of Fiery, LLC.

IP Licensing – Software and AI, Entertainment and Media, Technology

Regularly structure, draft, and negotiate agreements for clients, including:

  • Agreements for sourcing AI technologies from vendors.
  • Technology transfer and license agreements for semiconductor clients.
  • Partnership agreement for client in autonomous vehicles industry for integration and deployment activities.
  • Commercial agreements for early-stage companies, including Software-as-a-Service agreements, master services agreements, pilot agreements, and terms of service.*
  • Production agreements for entertainment and media clients.*
