Emily Chan is an associate in the Intellectual Property Technology Practice Group in Baker McKenzie's Palo Alto office.
Emily leverages over five years of legal practice experience in technology transactions and corporate law to advise clients on a wide range of complex issues related to intellectual property, licensing and commercial transactions.
Practice Focus
Emily's practice covers a wide range of activities related to commercialization of technology, including strategic commercial licensing of intellectual property and intellectual property diligence for corporate transactions.
Emily has experience drafting and negotiating a broad range of commercial agreements, ensuring adequate intellectual property protections. Emily has substantial experience in drafting agreements for commercial licensing of software, production services agreements for media companies, and consumer-facing terms of service.
Additionally, Emily has led deal teams in conducting intellectual property-related diligence, and has provided strategic legal advice regarding securing of intellectual property in connection with corporate transactions such as M&A and venture financings.

- Advised a solar energy start-up on negotiating a services agreement with a software development firm, ensuring ensure adequate contractual protections for the client.
- Drafted a series of production services and independent contractor agreements for a client in the video production and entertainment industry, ensuring comprehensive provisions for copyright and name, image, likeness.
- Prepared and reviewed multiple terms of service agreements for online consumer-facing platforms in different industries including Software-as-a-Service and retail, addressing key issues, and delivering completed terms efficiently for the client.
