Biography

Colin Bowes-Carlson is a partner in the Chicago Transactional Practice Group and a member of the Firm's Global Reorganizations Practice Group, where he represents public and private companies across a broad range of industries in complex cross-border corporate transactions.

Prior to re-joining the Firm, Colin served as the General Counsel of the Illinois Department of Revenue, where he advised policymakers and other stakeholders on the formulation and implementation of state tax policy and led a team of lawyers responsible for managing state tax litigation and other disputes.

Colin is a leading member of the Firm’s LGBTQ+ Employee Resource Group and Office Diversity Committee, focusing on diversity in firm recruitment and expanding visibility of diversity and inclusion efforts among partners, clients, and the Chicago legal community.

Practice Focus

Colin's practice focuses on cross-border mergers and acquisitions, global corporate reorganizations, post-acquisition integrations, spin-offs, carve-out transactions, and global cash utilization and redeployment projects.

Colin routinely counsels multinational clients on international legal compliance and cross-border business law issues. He is experienced in partnering with both internal tax teams and outside tax advisors to ensure tax optimization and tax-efficient transaction structures.

Representative Legal Matters

  • Advised Brunswick Corporation on the USD 490 million sale of its Life Fitness business to KPS Capital Partners, LP.
  • Advised Thoma Bravo, LLC and a fund or funds managed by Thoma Bravo on the international aspects of its purchase of Veracode, Inc. from Broadcom Inc.
  • Advised a US-listed global medical devices company on multiple post-acquisition integrations ranging from 20 to 50+ jurisdictions.
