We are pleased to have advised leading international private capital manager Morgan Stanley Infrastructure Partners (MSIP) on the acquisition of 100% of the shares in the Epic Energy group from Australian Retirement Trust.
Epic Energy owns and operates a diverse range of energy infrastructure assets, including almost 1,500 kilometres of gas transmission pipelines—among them the Moomba to Adelaide Pipeline System (MAPS)—and a renewable energy portfolio of approximately 162 MW, comprising wind, solar and battery energy storage assets across South Australia and Victoria.
“This transaction represents a significant investment in Australia's energy infrastructure sector and reinforces the attractiveness of high-quality regulated and contracted energy assets. We are delighted to support MSIP on a transaction involving complex commercial, regulatory and financing considerations, and to help deliver a successful outcome,” said M&A Partner Lucas Tyszkiewicz.
“We were very happy to help MSIP design and implement an underwritten and syndicated multi-facility debt solution that delivered appropriate debt sizing for the business and helped provide transaction certainty,” said Banking & Finance Partner Miles Wadley.
Baker McKenzie advised on all aspects of the transaction, including M&A, financing and regulatory matters.
Lucas and Miles were assisted by a multidisciplinary team including John Nielsen, Lynsey Edgar, Emma Panhuber, Willem van der Wilt and Joanne Ong.
