Nikole K. Zoumberakis

Nikole concentrates her practice on structuring and organizing various types of private investment funds, counseling on their formation and fundraising activities, as well as their ongoing operations, investor relations, governance and investing activities. Her practice includes advising on internal governance and compliance issues as well as on federal and state securities laws and regulations. In addition, Nikole counsels family offices on a wide range of investment and corporate matters, providing advice on investment structuring and regulatory matters.

Nikole has also represented a number of emerging growth companies as outside corporate counsel in financing transactions and on matters of general business and corporate law. She has extensive experience negotiating, structuring and closing a wide variety of corporate transactions, including mergers and acquisitions, joint ventures and strategic partnerships.

• Serves as fund counsel for Cosmos Management, including structuring asset management firm and the formation and launch of its venture capital fund, Cosmos Fund.
• Serves as fund counsel for Fvlcrum Partners, including structuring asset management firm and the formation and launch of its private equity funds, Fvlcrum Fund and Fvlcrum Fund II.
• Serves as US counsel to Marathon-London Asset Management, an investment management firm based in London.
• Serves as fund counsel to KCB Management and KCB Real Estate Management, a private equity and real estate fund manager with a portfolio of investments across the US.
• Represented Meaningful Partners in connection with structuring its asset management company and the formation and launch of Meaningful Partners Dedicated Capital Vehicle II, and its inaugural private equity fund, Meaningful Partners Dedicated Capital Vehicle I.
• Serves as fund counsel to real estate fund managers in connection with fund formation, including open-end and closed-end funds, funds of funds, DSTs and infrastructure, hedge, energy, debt and QOZ funds.
