Biography

Evangeline works on local and trans-jurisdictional case matters involving banking and finance, capital markets, general corporate affairs and mergers and acquisitions. She has considerable experience in assisting and representing clients in banking and finance matters, including syndicated credit facilities, trade finance, acquisition finance, project finance, structured finance, aircraft and assets finance, and real estate finance.

Representative Legal Matters

  • Advised CPC Corporation, Taiwan and INPEX on CPC’s minority investment and participation in the estimated USD 34 billion Ichthys LNG Project and its assumption of sponsor and shareholder obligations in support of the USD 20 billion project financing of the development of the project.

  • Represented Macquarie International Infrastructure Fund Limited / Miaoli Wind Co., Ltd. on the restructuring of Miaoli Wind Co., Ltd.'s project financing facilities with international lenders in connection with its wind farm in Taiwan including moratorium and structure for sale of Miaoli Wind Co., Ltd.

  • Acted for Australia and New Zealand Banking Group Limited as lender under a USD 600 million project finance facility to fund the purchase of an interest and participation by Formosa Steel IB Pty Ltd, a subsidiary of the Formosa Plastics Group, in the Iron Bridge Joint Venture with Fortescue Metals Group Limited in Western Australia.

  • Acted for Australia and New Zealand Banking Group Limited as coordinating arrangers, agent and security trustee for the lenders under a USD 700 million project finance facility to refinance the purchase of an interest and participation by Formosa Steel IB Pty Ltd, a subsidiary of the Formosa Plastics Group, in the Iron Bridge Joint Venture with Fortescue Metals Group Limited in Western Australia and to provide working capital.

  • Acted for Taiwan Broadband Communications on the refinancing of its existing acquisition finance facilities with a new TWD 32 billion term loan facility and replacement security suite over system operators assets, completed in conjunction with the IPO of the Asia Pay Television Trust in Singapore and the sale of TBC into the trust.

  • Acted for Taishin International Bank for a USD 302 million bridge loan to finance Takau Holding's acquisition of shares in Nan Ho.

  • Acted for CTBC Bank Co., Ltd. and syndicated lenders in the grant of a USD 84 million term loan facility to finance the acquisition of KIOSK Information Systems, Inc. by Posiflex Business Machine, Inc.

  • Acted for Australia and New Zealand Banking Group Limited as sole coordinating arranger and agent under a USD 900 million receivables purchase facility for international receivables extended to Pegatron Corporation and expansion of facility to USD 1.3 billion with additional participants.

  • Assisted Industrial Bank of Taiwan to convert from an industrial bank to a commercial bank

  • Advised China Development Industrial Bank on the transfer of its banking business and relevant agreements to Cosmos/KGI Bank after the latter was acquired by China Development Financial Holding Co., Ltd.

  • Advised Australia and New Zealand Banking Group Limited on the incorporation of a subsidiary bank in Taiwan, ANZ Bank (Taiwan) Limited, and the transfer of its branches and businesses into the newly incorporated subsidiary.
