Biography

Haran Viswanathan is a partner in the Corporate Transactions Practice Group in Baker McKenzie’s Toronto office. Haran is a member of the Student Recruitment Committee for the Toronto office and an active participant in the Firm’s Pro Bono initiative.

Practice Focus

Haran has a corporate and capital markets practice with a focus on public and private financings, cross-border mergers and acquisitions and other transactions by both private and public companies in sectors including healthcare and life sciences, tech, gaming and natural resources/mining. Haran also routinely advises management and the boards of public companies on corporate governance and public reporting matters.

Representative Legal Matters

Mergers & Acquisitions

  • Advised Rosebank Industries plc on the non-US aspects of the acquisition of Electrical Components International (ECI) for approximately USD 1.9 billion.
  • Advised Advanced Instruments LLC on the non-US aspects of its acquisition of Nova Biomedical Corporation for USD 2.2 billion.
  • Advised Trillium Therapeutics Inc. on its USD 2.26 billion sale to Pfizer Inc.
  • Advised Brookfield Asset Management on the global aspects of its USD 1.7 billion acquisition of nVent Electric’s Thermal Management business.
  • Advised Obrascón Huarte Lain in connection with CAD 81.7 million divestiture of its 25% stake in the Centre Hospitalier de L'Université de Montréal (CHUM) public-private partnership (PPP) project to John Laing Group.

  • Advised Bloom Burton in USD 40 million public offering of pre-funded warrants and common shares of Satellos Bioscience Inc.
  • Advised Bloom Burton in USD 55 million public offering of pre-funded warrants and common shares of Satellos Bioscience Inc.
  • Advised Sprott Physical Gold Trust in its public offerings totaling USD 1.5 billion.
  • Advised Sprott Physical Silver Trust in its public offering and subsequent offerings totaling over USD 1 billion.
  • Advised Bloom Burton in various private placement offerings, including USD 7.7 million subscription receipts offering of Conavi Medical Inc. in connection with the reverse-takeover of Titan Medical Inc.
