Biography

Kirstie Trup is an associate in our Corporate group in London, sitting within the Private Equity & Funds sub-group. Prior to joining the Private Equity & Funds sub-group in 2021, she also completed trainee seats with our Corporate Finance and Corporate M&A sub-groups.

Practice Focus

Kirstie's practice focuses on all general corporate matters, including cross-border mergers and acquisitions, global reorganisations, acquisitions and divestments by private equity and private clients.

Kirstie has been seconded to the corporate legal teams at DS Smith plc and Haleon plc.

Representative Legal Matters

  • Provides on-going general corporate services to Platinum Equity LLC.

  • Advised Gi Group, a leading Italian multinational company in the employment services sector, in the acquisition of the European staffing business of Kelly Services Inc.

  • Advised Kohlberg & Company, LLC on the acquisition of Worldwide Clinical Trials, a global, full service contract research organization.

  • Advised Sumitomo Mitsui Finance and Leasing on its investment in a LCI Aviation’s helicopter leasing business.

  • Advised APG Asset Management on its investment in a European fibre network infrastructure company alongside Stonepeak Infrastructure Partners.

  • Assisted our US colleagues with the English law aspects of Accel-KKR's investment in Loftware, a leading global provider of cloud-based enterprise and artwork management solutions.

  • Advised MiddleGround Capital on its third add-on acquisition of Haltech Engine Management Systems for its Race Winning Brand Platform.

  • Advised Google UK Limited on its USD 1 billion acquisition of the Central Saint Giles office complex in London from Legal & General, ReAssure and Mitsubishi.

  • Advised Diversey Limited on the acquisition of Shorrock Trichem, a UK distributor of cleaning and hygiene solutions and services.

  • Advised certain portfolio companies of Open Gate Capital on a series of amendments to its credit facilities.

  • Advised SKC, a Korean construction company, on the incorporation of English SPVs established for the purpose of injecting investment into the target operating company in a tax efficient way.

  • Advised Informa PLC on its acquisition of Clinerion AG, a Swiss software company that specializes in medical data informatics.

  • Advised Ecolab, Inc. on its acquisition of Purolite, a global provider of high-end ion exchange resins for the separation and purification of solutions.

  • Advised Mondelez on its acquisition of the Grenade Group, a global nutrition brand, followed by the post-acquisition integration restructuring of the Grenade Group.

Corporate Responsibility

  • Pro bono work for the Good Generation Project, which included advising on and setting up a charitable company limited by guarantee.
