Sophie Schubert is a senior associate at Baker McKenzie and a member of the Corporate Practice Group in Vienna. She joined Baker McKenzie’s Vienna office in August 2014 and has more than 9 years of experience advising clients in complex national and international corporate reorganizations and mergers and acquisitions. She worked also in the Munich office of Baker McKenzie.

Sophie is focused on complex corporate national and cross-border reorganizations and restructurings as well as mergers and acquisitions with a strong track record in the healthcare, infrastructure and energy sector. She advises multinational and domestic clients on private equity, M&A transactions, reorganizations, restructurings, joint ventures and all aspects of general corporate law.

  • Advising an Austrian regional energy services provider on the carve-out of a portfolio of renewable energy assets and a contemplated joint venture.


  • Advising a company specialist in spacecraft design, robotic spacecraft, earth observation satellite image processing listed on the NY stock exchange on the acquisition of an Austrian geospatial business of a European geospatial technology company.

  • Advised one of the world’s leading IT Service Consultants on the acquisition of the SKS Group.

  • Advising a global pharma conglomerate on the divestiture of its business relating to the manufacturing of surgical patch trusted by medical professionals globally to deliver safe, fast and reliable bleeding control.

  • Advised New Mountain Capital, a US based private equity fund with over USD 37 billion in assets under management, on Austrian legal aspects to acquire a leading business unit, specialized in OneSource laboratory and field services, along with a portfolio of atomic spectroscopy, molecular spectroscopy, and chromatography instruments, consumables and reagents that serve the biopharma, food, environmental & safety from PerkinElmer, Inc. together with Simpson Thatcher & Bartlett LLP (STB).

  • Advised one of the world's biggest private equity funds in its bid to acquire 100% of the shares of an Austrian based company (including its subsidiaries in more than 15 jurisdictions), a global leader in packaging, sold via an auction process.

  • Advised an international bank located in Zurich in connection with compliance investigations.

  • Advised a client in a post-M&A arbitration procedure under the Vienna Rules arising out of an investment on the Croatian coast.

  • Advised a German multinational automotive corporation in connection with the acquisition of the financial services business of Wiesenthal group.

  • Advised a Japanese multinational conglomerate in connection with the disposal of its 76% stake in cyberGRID GmbH.

  • Advised Rite Hite in connection with the acquisition of all shares in Stöcklin GmbH.

Reorganisation, Restructuring and Carve-out

  • Advising an international manufacturer of home appliances on a worldwide carve-out project prior to a joint-venture structure.

  • Advising a construction chemical entity on a post-acquisition intragroup reorganisation.

  • Advising an international third-party logistics company on a post-acquisition reorganisation involving more than 25 jurisdictions.

  • Providing integrated corporate and tax advice to Refurbed in connection with its corporate structure, including the implementation of reorganisation steps.

  • Advised Thales on all Austrian reorganisation steps required in connection with the worldwide carve-out and sale of its ground transportation business to Hitachi Rail.

  • Advised Paris stock-exchange listed ATOS on a complex carve-out in preparation for a potential separation into two publicly listed companies as announced by ATOS.

  • Advised Knowles Corporation on its legal restructuring projects.


  • Baker McKenzie Austria is providing integrated corporate and tax advice to Refurbed in connection with its corporate structure, including the implementation of reorganization steps.

  • Advised a globally active internet venture capital in the forward equity financing round into Austrian start-up GoStudent GmbH.
