Biography

Ziad joined the Firm's Corporate and Securities practice group in 2021. His practice focuses on corporate transactions and commercial advisory with particular focus on M&A, financial services, capital markets, securities, corporate finance, restructuring and investment schemes.

Ziad has been based in Saudi Arabia since 2015 and has previously worked in Qatar with a French law firm where he assisted European and American clients on a broad range of cross-border corporate and commercial transactions.

Ziad has been advising clients in the Middle East since 2010.

Mergers & Acquisitions

  • Acted as legal counsel for Walaa Cooperative Insurance Company in its merger with MetLife AIG ANB Cooperative Insurance Company through an increase of share capital and swap of shares.
  • Acted as legal counsel for Gulf Union Cooperative Insurance Company in its proposed merger with Al Ahlia Cooperative Insurance Company through an increase of share capital and swap of shares.
  • Acted as legal counsel for a global financial institution in its acquisition of the money transfer division of a Saudi Arabian bank.
  • Acted as legal counsel for the investment arm of a large petroleum company in its proposed acquisition of stake in a hospital in Bahrain.
  • Acted as legal counsel for a public relations firm based in the United Kingdom in its acquisition of another public relations company based in the United Arab Emirates with operations in the Seychelles.
  • Acted as legal counsel for an investment management firm in its acquisition of an IT service provider and distributor in Saudi Arabia.
  • Acted as legal counsel for a Middle Eastern investment firm in its acquisition of a polymer distribution company in the United Kingdom.
  • Advised one of the largest conglomerates in the construction industry on the acquisition of several companies established in the United Arab Emirates.
  • Acted as legal counsel for a large pipe manufacturing company in its acquisition of another manufacturing facility in Khobar, Saudi Arabia.
  • Acted for an investment firm in its acquisition of shares in a car rental solutions and communication services company.
  • Acted as legal counsel for a regional eyewear retail specialist in its acquisition of a dental clinic in Saudi Arabia.
  • Acted as legal counsel for a milling company in its acquisition of a feed factory in Jeddah, Saudi Arabia.

Capital Markets

  • Acted as legal counsel for Gulf Union Insurance Company with its increase of capital by way of rights issue valued at SAR 250 million.
  • Acted as legal counsel for Alinma Tokyo Marine with its increase of capital by way of rights issue valued at SAR 220 million.
  • Assisted and advised an insurance company on the assessment of numerous claims filed by shareholders against members of the board of directors of a telecom operator in front of the Committee for Resolution of Securities Disputes.

Corporate Restructuring

  • Assisted and advised a major Middle Eastern conglomerate with an extensive legal due diligence project covering several nominee-held group companies.
  • Assisted one of the largest construction companies in the Middle East on the liquidation of one of its main subsidiaries and advised on the impact of its liquidation under the Saudi Arabian bankruptcy law.

Real Estate and Construction

  • Advised a Saudi Arabian government-owned company on the legal and regulatory framework as part of a feasibility study for investment of real estate property allocated for education in non-educational projects in the Kingdom of Saudi Arabia.
  • Assisted a major real estate development company with the structuring and financing of a mixed-use complex project in the Kingdom of Saudi Arabia, including the land valued at USD 55 million.

Aviation and Shipping

  • Assisted a global air finance corporation with the registration of 50 aircraft leased by Saudi Airlines. Work included advising the enforceability of the security documents and registration of aircraft under the rules and regulations of the General Authority of Civil Aviation in the Kingdom of Saudi Arabia.
  • Advised an American petrochemicals supplier with its claim against a Saudi Arabian chemical manufacturing company in relation to the purchase and shipping of chemical products to Barcelona, Spain.
