Biography

Tran Yen Trang Phan is a special counsel at Baker McKenzie's office in Ho Chi Minh City, Vietnam.

Trang has experience in global business/corporate restructuring/carve out/spin off/transfer of international group companies in different industries, medical devices, consumer health care, home appliance, chemical, computer/IT, and other services.

Practice Focus

Trang has extensive experience in corporate and commercial sector. She has been involved in hundreds of company and project establishment, operation and dissolution/termination in various industry sectors, trading and retailing, sourcing, production, and services. Her work includes providing legal/commercial advice/guidance to clients, preparing documents, working/dealing with different challenging Government agencies and obtaining the approvals from the authorities.

Representative Legal Matters

  • Advise and assist Wilbur-Ellis on all legal and regulatory aspects of the transaction in Vietnam, which was a significant jurisdiction for the business to merge its life sciences and specialty chemicals solutions businesses to Caldic B.V.
  • Advise and assist Johnson & Johnson on the spin-off/separation of the consumer health business in Vietnam in all aspects from legal perspective of the deal from setting up a new legal entity, increase of the capital, transfer of the carved out business (e.g. assets, inventory, contracts, employees) 
  • Advise and assist Beckton & Dickinson on the spin-off/separation of the diabetes business in Vietnam in all aspects from legal perspective of the deal from setting up a new legal entity, transfer of the carved out business (e.g. assets, inventory, contracts, employees)
