Biography

Andrea Ng is a local principal in the Finance & Projects Practice Group at the Firm’s Singapore office.

She brings over a decade of international experience advising financial institutions, private credit funds, corporates and sponsors on market-leading cross-border leveraged finance and fund finance transactions, as well as a broad range of structured financings. Having practiced in Hong Kong, London and Singapore, Andrea offers deep insight into global financing markets.

Andrea is dual-qualified in England & Wales and Hong Kong and is fluent in Cantonese and Mandarin.

She is also a passionate advocate for diversity in the legal profession and actively contributes to industry-wide diversity and inclusion initiatives.

Practice Focus

Andrea has worked closely in recent years with private credit clients and global financial institutions active in the APAC leveraged finance and fund finance markets. She also regularly advises on matters with a Greater China or Southeast Asia nexus.

Selected experience prior to joining Baker McKenzie:

Private credit

  • Advised a club of private credit lenders on the USD 300 million secured term loan facility for Loka Holdings, the parent company of Traveloka — Southeast Asia’s largest online travel and lifestyle app at the time.
  • Advised a private credit fund as mezzanine lender on the acquisition financing by TBS Energi Utama Tbk of the Sembcorp waste management business in Singapore.
  • Advised CBC Group’s R-Bridge Healthcare Fund as lender on the royalty financing to Human Investments, a market leader in the medical aesthetic and reconstruction market in Korea.

Fund finance

  • Advised a global investment bank on the USD 350 million NAV financing of a portfolio of APAC credit managed by global financial sponsor, with securitization treatment.
  • Advised a regional APAC credit fund on its inaugural NAV facility.
  • Advised Mizuho on the JPY9 billion subscription line facility for a Japanese onshore fund managed by an international asset manager.

Leveraged finance

  • Advised the mandated lead arrangers and original lenders on the acquisition financing by Bain Capital of Dhoot Transmission Private Limited in India.
  • Advised the mandated lead arrangers and lenders on KKR's acquisition financing of Equest Education Group in Vietnam.
  • Advised the mandated lead arrangers and agent on GIP’s acquisition financing of Tower Vision India Private Limited.
