Biography

Matthew McCarthy is an associate in Baker McKenzie's Chicago office and a member of the Firm’s Transactional Practice Group. He joined the Firm in 2019 and his practice focuses on major project and infrastructure transactions, including both acquisitions and sales and project financing.

Practice Focus

Matthew represents domestic and international clients on matters involving power projects, including both conventional and renewable power. He has represented developers, investors, and sponsors in the acquisition and sale, development, and financing of renewable energy and clean energy projects, focusing mainly on project acquisitions, project financing and joint ventures. Matthew also advises clients on real estate acquisitions, commercial leasing, and leveraged finance matters.

Representative Legal Matters

  • Advised Hannon Armstrong (HASI), a sustainable infrastructure fund, with its cash equity investment in a joint venture for a portfolio of seven renewable projects located throughout the United States totaling 1.6GW, consisting of 874MW of onshore wind, 192MW of utility-scale solar, and 557MW of utility-scale solar with 395MW of co-located storage.
  • Advised HASI in connection with a cash equity investment in an approximately 605 MW portfolio of solar and solar-plus-storage projects across 11 states composed primarily of community solar and commercial and industrial solar assets.
  • Advised HASI in connection with a cash equity investment in a joint venture that includes a portfolio of nine wind and four solar projects totaling 2.3GW of capacity throughout the United States.
  • Advised project sponsors in the development, contracting and project financing for a leading hydrogen storage facility in the US.
  • Advised the Repsol group (Repsol, S.A. and Repsol Renovables, S.L.U.) on its agreement to acquire 40% of a US-based PV solar and battery storage project developer with a portfolio of more than 40 GW of renewable and energy storage projects under development, including 16.8 GW of solar projects at advanced stages of development.
  • Advised Naturgy on its acquisition of Hamel Renewables, a solar and energy storage development platform in the United States, from Macquarie's Green Investment Group. Hamel Renewables holds a portfolio of 8 GW solar projects together with 4.6 GW of energy storage projects spanning nine states, of which 25 projects totaling 3.2 GW of solar and 2GW storage could be operational before 2026. The transaction represents Naturgy’s first investment in the US renewable energy market.
