Biography

Aubrey Kelley is an associate in Baker McKenzie’s Transactional Practice Group in New York. Aubrey advises clients on domestic and cross-border mergers and acquisitions, joint ventures, corporate restructurings and other strategic transactions across a broad range of industries.

Practice Focus

Aubrey’s practice focuses on private and public mergers and acquisitions, joint ventures and strategic corporate transactions. She has experience in transactions across a range of sectors, with particular experience in energy, infrastructure, renewable energy and technology-enabled businesses.

Representative Legal Matters

Represented energy technology company Baker Hughes on the sell side in a competitive cross-border auction process for a USD 1.5 billion strategic transaction.
Represented an energy-as-a-service provider in connection with the development and financing of a central utility plant upgrade at a major U.S. airport, including work on EPC, O&M and related project documentation.
Advising a global infrastructure and data center company in connection with a data center joint venture and related development arrangements.
Represented H. Lundbeck A/S in a USD 2.6 billion public-company cross-border merger transaction governed by an agreement and plan of merger.
Represented Atlassian Corporation in its USD 1 billion acquisition of DX, an AI-enabled technology business serving large-scale engineering teams.
Represented Coinbase Global, Inc. in a multijurisdictional corporate and financing transaction involving equity issuances, shareholder approvals, and related corporate restructurings.
Represented Lotus Pharmaceutical Co. Ltd. as buyer in a USD 1.2 billion cross-border acquisition of New Alvogen Group Holdings, Inc.
Represented ServiceNow in a cross-border acquisition of an AI-enabled technology business with U.S. and Israeli operations.
Advising a renewable energy company in connection with the proposed sale of a portfolio of operating wind projects.
Advised Trane Technologies in connection with the acquisition of the remaining equity interests in LiquidStack, a liquid-cooling technology company.

Corporate Responsibility

Since joining the Firm, Aubrey has maintained an active pro bono practice, primarily focusing on work with Florida Rights Restoration Coalition.
