Biography

Gwen Karanadze is an associate in the Transactional Group in Baker McKenzie's New York office, where her practice focuses primarily on mergers and acquisitions.

Practice Focus

Gwen advises both public and private clients in mergers, tender offers, asset acquisitions, stock purchases, and other strategic corporate transactions. Prior to joining Baker McKenzie, Gwen practiced at an AM 100 law firm in California focused on technology transactions, and advised a publicly traded technology company in Silicon Valley on matters related to mergers and acquisitions, private and public company equity investment, and post-merger restructuring.

  • Advised Coinbase in its investment in CoinDCX, a leading crypto exchange in India and the Middle East.
  • Advised Lotus Pharmaceutical in its acquisition of New Alvogen Group Holdings, Inc.
  • Advised Mastercard in its investment transaction in Corpay for USD 300 million.
  • Advised hearX Group in its merger with Hearing health pioneers Eargo, a maker of Lexie Hearing aids, resulting in the creation of a combined company called LXE Hearing.
  • Advised Thomson Reuters in the divestment of its majority stake in Elite to TPG, valuing the business at approximately USD 500 million.
  • Advised 65 Equity Partners Management in its investment transaction in Kendra Scott.
  • Advised Lundbeck in its acquisition of Longboard Pharmaceuticals for a total value of USD 2.6 billion.
  • Advised Olink Holding AB in its sale to Thermo Fisher for a total value of USD 3.1 billion.
