Biography

AJ specializes in real estate transactional law. She is currently based in the San Francisco office as part of Baker McKenzie's North America Transactional Practice Group.

Practice Focus

AJ advises public and private companies on complex domestic and cross-border real estate transactions, including mergers and acquisitions, carve-outs, entity rationalizations, corporate reorganizations, and commercial leasing. She regularly leads global real estate workstreams for multijurisdictional transactions, coordinating local counsel and advising on diligence, owned and leased property transfers, operational separations, and post-closing integration matters.

Representative Legal Matters

  • Directed global real estate workstream on the following transactions:
    • Honeywell’s USD 1.4 billion sale of its Productivity Solutions and Services (PSS) business to Brady Corporation
    • Honeywell’s sale of its Warehouse and Workflow Solutions (IGS) business to American Industrial Partners
    • Honeywell's USD 2.16 billion acquisition of Sundyne from Warburg Pincus
    • Baker Hughes' USD 1.15 billion sale and subsequent carve-out of its Precision Sensing and Instrumentation (PSI) business to Crane Company
    • Owens Corning's USD 755 million sale of glass reinforcements business to Praana Group
    • Acuity Brands' USD 1.215 billion acquisition of QSC
    • AURELIUS' acquisition of Teijin Automotive Technologies North America from its Japanese parent company Teijin Limited
    • Multiple transactions for Abbott Laboratories, including a cross-border acquisition (USD 550 million), a merger (USD 180 million), and a large-scale divestiture
  • Assists clients with regular drafting and negotiation of commercial leasing and related documents for leased real properties throughout the US.
  • Advised Daiwa House Industry Co., Ltd. on a minority investment in Alliance Residential Company.
  • Advised a European satellite operator on the carve-out and sale of a majority stake in in its broadcast infrastructure business across 30 jurisdictions.
  • Advised Affirm, Inc. on cross-border reorganization and corporate governance matters related to its Spain-based subsidiary.
  • Advised a Palo Alto-based robotics technology company on multiple seed funding rounds and general corporate governance.
  • Advised SecurityAdvisor Technologies in its acquisition by NASDAQ-listed cybersecurity company KnowBe4, Inc.
