Shinn-Yih Ho
Biography
Shinn-Yih is a partner in Baker McKenzie's Taipei office. He has extensive experience in corporate mergers and acquisitions (M&A), commercial real estate, and general corporate and legal counseling. Shinn-Yih has represented companies, investors, private equity funds, and venture capital funds in providing legal advisory services regarding M&A, investments, asset acquisitions, mergers, and joint ventures. Shinn-Yih has also represented multinational technology companies, private equity funds, and international hotel chains in real estate-related transactions.
Representative Legal Matters
Mergers & Acquisitions/Corporate
- Represented the founder in a private equity fund's acquisition and privatization of a TWSE-listed company in Taiwan.
- Advised on an USD 900 million management buyout and take-private transaction in Taiwan, including the agreements with the PE fund investor, merger, and relevant regulatory matters.
- Represented venture capital funds from Taiwan, Hong Kong, and Vietnam in Series A-1, A-2, B, C, and D equity financing rounds across various industries, including conducting legal due diligence and negotiating transaction documents.
- Represented a US company in its private placement investment in a TWSE-listed Taiwanese company.
- Represented a TWSE-listed KY company in a cross-border merger and strategic alliance with a Taiwanese company, with equity as consideration.
- Represented a European group in establishing a marine services joint venture company in Taiwan.
Real Estate
- Represented a major US listed technology company in acquiring a large parcel of land in an industrial park in Taiwan for its green field data center project, with a transaction value exceeding USD 120 million.
- Represented a major US listed technology company in providing legal advisory services for a data center project located within an industrial park under the Ministry of Economic Affairs in Taiwan, with a total investment value exceeding USD 600 million.
- Represented a US listed industrial manufacturing group in the public tender and sale of its manufacturing facility in Taichung, encompassing preliminary planning, bidding process consultation, closing, and compliance with related corporate, environmental, and factory regulations.
- Represented a private equity fund focused on data center businesses in conducting legal regulatory assessments and completing land acquisitions in Taiwan.
- Represented a US semiconductor company in the disposal of its manufacturing plant within a Science Park.
- Represented a Canadian company in establishing a new manufacturing plant in Taiwan.
- Provided legal advisory services to a private equity fund regarding its equity investment in a real estate development company.
