Biography

Isabella Hashmi Österlund is a member of Baker McKenzie’s Antitrust & Competition Practice Group in Stockholm. Isabella joined the Firm as an associate in 2022. Prior to joining the Firm, she attended the law programme at Stockholm University.

Representative Legal Matters

Merger control and foreign investment

  • Advised and coordinated filings for Actona Group A/S in its acquisition of competitor and supplier, Polish furniture manufacturer SITS before the Swedish, Polish and Austrian competition authorities.
  • Assisted the Swiss construction chemicals group Sika AG on the CMA merger clearance of MBCC Group (Master Builders Construction Chemicals), the former BASF Construction Chemicals division, from Lone Star Funds, a global private equity firm. The transaction had a deal value of EUR 5.2 billion.
  • Advised on competition law matters on Petrona's acquisition of Perstorp Holding AB.
  • Advised major PE company in multiple acquisitions, successfully representing the client before the Swedish Competition Authority as well as the European Commission.
  • Advised Olink Holding AB (publ) on merger control and foreign investment matters in their divestment of Thermo Fisher Scientific worth USD 3.1 billion.

Investigations

  • Assisted a client in an abuse of dominance investigation by the EU Commission in the VAT refund services sector.
  • Represented clients during investigations by the Swedish Competition Authority in alleged violations of competition rules.

Antitrust compliance

  • Conducted due diligence investigations and compliance audits for multinational clients.
  • Advised multinational companies on their distribution agreements, including on risks concerning resale price maintenance, territorial restrictions and online sales.
  • Delivered competition law compliance trainings to clients active in the automotive, retail, and financial services sectors.
