Biography

Hania El Shazly is an associate at Baker McKenzie Cairo (Helmy, Hamza & Partners), within the Banking & Projects Practice Group. She advises lenders, commercial banks, and multilateral financial institutions, developers and sponsors, during all stages of the structuring, development and financing of projects.

She holds a dual LLB in Law from London South Bank University and the British University in Egypt in 2025, graduating with high honors and ranking first in her class in both programs.

Practice Focus

Hania focuses her practice on banking, project finance and development, fintech, and real estate finance. Her experience includes advising on syndicated lending, project finance, refinancing and debt restructuring transactions, as well as the development and financing of energy, infrastructure and real estate projects. She also has experience in the fintech sector, including matters relating to digital payments, mobile banking, and other emerging financial technologies.

Representative Legal Matters

  • Advised AMEA Power in connection with the development and financing of a 1,000 MW solar PV and 600 MWh battery facility in Egypt’s Aswan Governorate, Africa’s largest single-site solar and batter energy storage project. With a total investment cost of USD 700 million, the project was financed by a consortium led by the International Finance Corporation (IFC) and included other international investors. (Won African Deal of the Year at the Project Finance International (PFI) awards 2026)
  • Advised Mashreqbank psc and HSBC Bank Middle East Limited along with a syndicate of regional and international lenders in connection with a refinancing facility of up to USD 550 million extended to Cheiron Finance Limited.
  • Advised the International Finance Corporation (IFC) in connection with a USD 20 million financing provided to GlobalCorp for Financial Services S.A.E., to expand access to leasing and factoring solutions for micro, small, and medium-sized enterprises (MSMEs).
  • Advised Mashareq Real Estate Investment in connection with an EGP 1 billion long-term syndicated facility provided by a consortium of lenders, led by the National Bank of Egypt, to support the development of Zag East, a commercial and administrative project located in Egypt.
  • Advising a consortium of international lenders in connection with a loan of USD 300 million provided to a Pan-African multilateral financial institution as borrower.
  • Advising Japan’s largest financial services providers in connection with a dual-currency facility agreement advanced to Pan-African multilateral financial institution as borrower.
  • Advised Marakez in connection with an EGP 3 billion bilateral facility from Kuwait Finance House - Egypt. The financing is aimed at driving the next phase of District 5, Marakez’s flagship development in East Cairo, supporting the major expansion of the Mindhaus Campus office park.
  • Advising different international payment services companies in connection with payment system solutions and services under existing Egyptian laws and regulations.
