Ellen advises local and international companies on all aspects of individual and collective employment law, employment contracts, employment termination, and employee compensation and benefits.

She has focused experience in company restructurings and M&A, including due diligence, works council consultation and negotiation procedures, post-acquisition harmonization projects, employee transfers, (collective) dismissals, plant closure, etc. She has worked with a full range of large and medium sized companies in different industrial sectors.

• Assisted with the legal analysis and strategic planning regarding the envisaged merger of a recently acquired information technology company with a leading Benelux HR services provider (including in particular advice on the impact on employee representative bodies).

• Advised two Belgian based companies operating in the food & beverages industry on the preferable corporate set-up of their envisaged collaboration given particularities of the sector and the differences in employment terms and conditions in place.

• Advised a private equity firm on the acquisition of a pan-European packaging group.

• Assisted a construction engineering company in their investment of EUR 12.5 million in a capital increase of a leading Belgian logistics player with 1,400+ employees.

• Advised several companies with respect to the HR aspects of their IPO readiness.

• Advised a Belgian based real-estate investor and operator, on the Belgian employment law attention points in the framework of a post-acquisition intragroup restructuring and integration exercise.

• Advised on the corporate restructuring of a Belgian health insurance fund with 1000+ employees, including on the post-merger harmonisation of employment terms and conditions.

• Assisted on the acquisition of a five-star luxury hotel by a leading private equity firm (including a detailed assessment of the collective lay-off procedure as implemented by the hotel in 2020).

• Assisted on the acquisition of the Dutch container shipping company by a German based transportation company, including advising on the employment aspects of the post-acquisition integration.
