Jun Chen
Biography
Jun Chen is a partner in Baker McKenzie's Taipei office and co-leads the real estate practice group. She also has extensive experience in major projects in developing infrastructure, energy, factory and commercial property, as well as merger and acquisition (M&A) matters.
Jun provides legal advice on various project contracts and transaction documents. Furthermore, Jun is well-versed in cross-border M&A transactions, including contract review, negotiation, and coordination of due diligence and closing document preparation. Jun prioritizes her clients' needs, providing them with practical legal advice and guidance.
Representative Legal Matters
EMI
- Representing Chiahui Power (IPP) in relation to review of procurement documents for Taiwan Power Company's 500MW bidding, EPC and O&M contract negotiation with GE, and advising various issues during construction phase.
- Representing IPP in relation to the gas turbine plant for Taiwan Power Company's 600MW bidding, EPC and O&M contract negotiation with GE, and advising various issues in project development, including gas supply agreement, corporate restructuring, EIA approval, project timeline and legal due diligence for project financing.
- Representing a semiconductor giant in its EPC contract draft and bidding documents to develop the new campus project in New Taipei City, Taiwan.
- Advising wind farm developers, including Copenhagen Infrastructure Partners and other key players, in relation to their wind power projects in Taiwan, and assisting their RFP and contract reviews and due diligence works in various transactions.
Mergers & Acquisitions
- Representing BizLink, a Cayman company listed in Taiwan, on its acquisition of the carve-out of the industrial solution assets of cables and cable systems of Leoni AG, a German-listed company, involving 15 production sites in Europe, North America and Asia.
- Representing Marubeni Group in relation to its acquisition of Chenya Energy, which owns the largest floating solar project in the world.
- Representing BizLink Group to purchase electrical appliance assemblies business from Leoni Group with five share deals in seven jurisdictions in Europe and Asia, covering the bidding procedure, coordination of due diligence works, contract negotiation and closing document preparation.
Real Estate
- Representing a semiconductor giant in negotiation of a 70-year superficies right agreement with National Property Agency, Taiwan Government.
- Representing an US PE fund on its investment of a data center in Taiwan and providing advice on the land use-related issues.
- Representing global IT giant in relation to its campus in Taiwan, including negotiation of the LOI and two built-to-suit lease agreements with Far Eastern Group in Tpark, New Taipei City, and continually providing advice during construction phase.
