Biography

Roberta Chan is a partner in Baker McKenzie's Hong Kong office and a member of our Dispute Resolution Group.

Practice Focus

Ms. Chan advises on all types of cross borders disputes, property related litigation as well as all aspects of commercial and corporate litigation including company and shareholder disputes, contract and tort claims.

She also has extensive experience in insurance and employment matters, including policy interpretation and defense of claims involving contractors’ risks, public liability, employees’ compensation, professional indemnity and other specialist insurance policies.

Ms. Chan is a solicitor-advocate with rights to appear in all levels of civil courts in Hong Kong.

Representative Legal Matters

Commercial Disputes

  • Representing a Chinese state-owned enterprise in defending a claim for tortious interference of business/procuring breach of contract, lodged by the largest port operator in Dubai, in respect of its port/free zone investment in Djibouti. This was the first dispute in Hong Kong which arose from the Belt and Road Initiative. 

  • Represented one of Hong Kong's leading telecommunications operators to gain victory at the Court of Final Appeal regarding the constitutionality of setting licence fees to recover surplus for transfer to general revenue under the Telecommunications Ordinance/Trading Funds Ordinance and subsequent restitution claims. 

  • Acted for Hong Kong’s leading telecommunications operators in their restitution claim for excessive license fees paid against the Government with a total amount of more than HKD 200 million. 

  • Representing and defending a major satellite operator in Hong Kong in a contractual dispute with its joint condosat counterparty in USD60 million claim. 

  • Acting for a listed company in a statutory derivative action against certain directors of another listed company for breaches in directors' duties during the process of spinning-off of the core business of that listed company. The core business also includes certain land properties situated in areas of PRC, which have high potential redevelopment value. The matter involves various expert areas including business valuation expert, land valuer, corporate financier, town planning consultant and foreign law experts. 

  • Advised a Hong Kong-listed company in its main action for rescission of contract, based on fraud and misrepresentation in respect of its acquisition of a British Virgin Islands company which indirectly holds substantive projects in Vietnam. 

  • Advised a Hong Kong-listed company in its main action against a joint venture partner, another Hong Kong listed company, for breach of fiduciary duties and conspiracy to defraud. 

  • Advising and defending a Hong Kong-listed company and its directors in various actions for fraud and misrepresentation, in respect of its acquisition of a BVI company which indirectly holds mines in Russia. 

  • Represented for a Hong Kong listed company in obtaining a successful vexatious litigant order against a discontent minority shareholder and his nominees. 

  • Acted for majority shareholders in their family dispute with minority shareholders in a winding-up petition pursuant to Sections 168-A and 177 of the Companies Ordinance.
