Alexis Bouvet
Biography
Alexis Bouvet is a Counsel in the Banking & Finance practice group of Baker McKenzie's Luxembourg office. Before joining the Firm in 2015, he gained experience in the Capital Markets department of a leading international law firm in Paris, advising on a broad range of debt capital markets transactions.
Practice Focus
Alexis is a Banking & Finance lawyer with extensive experience in lending transactions. He advises financial institutions and local and multinational corporate clients on complex financing and refinancing projects. He is also active in the capital markets field, advising issuers and investment banks on debt and equity capital markets transactions, including admissions to trading, and on the establishment of securitisation structures.
Representative Legal Matters
- Assisted leading investment funds managed by Macquarie on a highly complex EUR 1.285 billion refinancing and notes issuance, acting across both the bank financing and debt capital markets workstreams.
- Assisted major banks in connection with the purchase of EUR 850 million senior fixed rate notes to refinance the existing notes originally issued in connection with the acquisition of InPost S.A. and Mondial Relay SAS.
- Advised a major investment fund in connection with the refinancing of third‑party bank debt and shareholder/investor loans through a USD 180 million NAV-facility agreement.
- Acted for a leading bank and a syndicate of lenders on a EUR 1.5 billion bridge facility as well as the structuring and implementation of the Luxembourg security package.
- Assisted major French and Luxembourg investment funds in connection with a EUR 260 million NAV facility agreement.
- Advised lenders in connection with a high value cross-border refinancing in an amount of approximately EUR 820 million.
- Advised a leading investment firm in connection with the EUR 350 million facilities agreement in connection with an acquisition.
- Assisted a leading investment fund in connection with subscription line facilities in an amount of USD 200 million.
- Advised a leading Luxembourg real estate promoter in connection with the refinancing of several Luxembourg commercial centers located in Luxembourg.
- Advised a regulated securitisation vehicle in connection with the structuring and implementation of several securitisation transactions.
- Assisted one of the world's leading private equity and investment , in connection with its acquisition of a Spanish natural gas and electrical energy company which operates primarily in Spain, through a mix of intragroup financing and a EUR 2.03 bn facilities agreement.
- Advised a real estate fund on a EUR170 million financing of a portfolio of its European real estate properties.
- Advised a Luxembourg investment fund with a 3-year EUR600 million bridge facility agreement and the related security documentation.
- Regularly assists a major European bank in connection with certain bridge financing refinancing transactions.
- Assisted Invesco Real Estate Management in the restructuring of one of its largest open-ended funds, which involved refinancing its obligations and identifying the potential tax implications.
- Assisted Macquarie Atlas Roads, one of the world's largest developers and operators of private toll roads, on a EUR150 million senior facilities agreement (and the related security documentation) that will help finance their acquisition of the French highways operator.
- Represented a major Brazilian bank in connection with the financing of the construction of several airports in Brazil.
- Acted for securitization sponsors and European car manufacturers in their securitization financing programs.
- Assisted a leading Indian manufacturing company with the listing of global depository receipts on the Luxembourg Stock Exchange
- Advised on the refinancing of a hotel and leisure company by a syndicate of lenders.
- Assisted a Chinese e-commerce company with the listing of its shares on the Luxembourg Stock Exchange.
- Assisted Aramark with the refinancing of its existing bonds and credit facilities.
- Advising a leading global bank on the financing of the acquisition of one of the world's leading energy efficiency providers, by a Chinese joint venture.
- Regularly assists a multinational specialty pharmaceutical company with several amendments to its debt obligations (such as credit facilities and bond deals) and issuing additional listed senior secured notes.
- Acting as legal counsel of Natixis's structured finance team, which runs a securitization activity via several compartments of a Luxembourg regulated supervised EUR5 billion securitization platform.
