Biography

Neda is an associate in the Firm's Corporate Practice Group and has joined the Firm in 2020. Neda is admitted as a solicitor in England and Wales, and is a registered legal consultant in Dubai.

Neda is a corporate lawyer with a focus on cross-border M&A and global reorganization transactions. She also provides regular advice on restructurings, foreign direct investment, carve-outs, joint ventures, corporate governance, and regulatory matters including product compliance and consumer protection.

She also has experience working in other UAE related legal areas such as commercial litigation, corporate insurance and insurance subrogation.

Prior to joining Baker McKenzie, Neda worked for one of the largest international law firms in the Middle East.

Representative Legal Matters

  • Advised Olayan Financing Company in the acquisition of a stake in ICD Brookfield Place in the Dubai International Financial Centre. 
  • Advised on the acquisition of the Anantara The Palm Dubai Resort located on the world-famous Palm Jumeirah island off the coast of Dubai in the UAE. 
  • Advised Affinity Holdings Private Limited, a wholly owned subsidiary of Aster DM Healthcare Limited, one of the largest private healthcare service providers operating in the GCC, on the sale of its GCC healthcare business to a consortium led by Fajr Capital and the Moopen Family for USD 1 billion through an auction process.
  • Advised Georg Fischer AG on its acquisition of a majority stake in Corys Piping System SPV Ltd, a leading manufacturer of engineered sustainable piping systems for the construction market in the Middle East, based in Dubai, from Green Coast Enterprises.
  • Advised Core42, a leading data, AI and technology company owned by G42, on the acquisition of the entire share capital of a leading cyber security company, CPX Holding LLC, from Tawazun Council.
  • Advised a multinational hospitality group on the acquisition of a portfolio of hospitality and F&B companies across Hong Kong, Singapore, Indonesia, BVI and Japan.
  • Advised on the acquisition of telecommunications businesses in the Republic of Kazakhstan.
  • Advised the Montfort Group on the acquisition of Uniper's crude oil processing and marine fuel trading business based in the UAE via a joint venture with the Private Office of Sheikh Ahmed Dalmook Al Maktoum.
  • Advised a leading digital infrastructure company on a joint venture to establish data centres in Saudi Arabia. The joint venture was be structured through the ADGM.
  • Advised Gulf Marketing Group on the acquisition of the Géant, Monoprix and Franprix franchise, including a total of 18 hypermarket and supermarket locations across the UAE, from Dubai Holding and Meraas.
  • Advised Gulf Marketing Group on the acquisition of Royal Sporting House's (RSH) sports retail business, from Dubai based conglomerate Al Futtaim Group. The deal comprised the acquisition of RSH's sports retail business in Singapore, Malaysia, and Hong Kong together with operations in the UAE, Egypt and Qatar. RSH is one of Singapore’s leading multi-brand sports retailers with a portfolio comprising Adidas, Nike, Reebok, Under Armour, Speedo and Saucony, amongst other international sports brands.
  • Advised a leading global provider of data and technology solutions for the healthcare industry, on various regulatory and compliance issues, product roll out, business and asset diligence, acquisition and restructuring in the UAE and the Middle East.
  • Advised an international food and agri-business company on UAE law aspects of their corporate reorganization.
  • Advised a leading industrial automation company on pre-merger restructuring and transfer of assets and business in the UAE.
  • Advising local and international clients in respect of corporate re-organizations, including carve-outs, share transfers, re-domiciliation, liquidation, and incorporation of entities registered in both free zones and mainland of UAE, in coordination with UAE government departments and free zone authorities.
  • Assisting with completion of due diligence exercises in relation to the corporate acquisition of target entities, including closing and post-completion matters, and drafting due diligence reports for various transactions.
