Biography

Thamer is an associate with the Firm's Corporate Practice Group. He has been with the Firm since 2023. Thamer is qualified in England & Wales and works at the Firm's Riyadh office.

Thamer has been based in Saudi Arabia since 2020 and has previously worked with an Emirate law firm at their Riyadh office where he assisted Middle Eastern, America, and European clients on a broad array of cross-border corporate and commercial transactions.

Practice Focus

Thamer is actively involved in advising both Saudi Arabian and foreign clients on a wide range of corporate, commercial, capital markets and M&A transactions with a focus on M&A, corporate reorganizations and joint ventures in the MENA region.

Representative Legal Matters

Advised Retal on the SAR 881.65 million share swap acquisition of Ajdan Real Estate Development Company.
Advised Catrion Catering Holding Company SJSC on its acquisition of a 55% stake in Al Khalejiah Catering Company, including negotiation of the sale and purchase agreement, transaction structuring and regulatory approvals, with a total consideration of up to SAR 440.86 million.
Advised Magrabi Health, a prominent regional healthcare provider, on the acquisition of multiple dental clinics and aesthetic hospitals across Saudi Arabia.
Advised the investment arm of a major petroleum company on its proposed acquisition of a stake in a hospital in Bahrain.
Advised East Pipes, a leading pipe manufacturing company, on its acquisition of a manufacturing facility in Khobar, Saudi Arabia.
Advised Fakieh Poultry Farms Co. on the sale of a 30% stake in its subsidiary, Al Tazaj Fakieh BBQ Chicken Company, a leading quick-service restaurant brand in Saudi Arabia.
Advised a Saudi-based distributor, importer, manufacturer and marketer of frozen, chilled and dry foods Almunajem Foods Company on its proposed share acquisition of Al Washim Poultry Company, a leading poultry business in Saudi Arabia.
Advising a major automotive manufacturer in the negotiation of a joint venture agreement with a local partner to set up a manufacturing plant in KSA.
Advising a Saudi-based healthcare IT provider on its joint venture with South African pharmaceutical benefits management company.
Acting as issuer's counsel to Ayyan Investment Company, a listed company on the Saudi Stock Exchange (Tadawul), on its rights issue.
Advising companies listed on Tadawul on securities exchange offer and potential public M&A transactions.
Acting for a Saudi Arabian investment company in its acquisition of shares in a pharmaceutical chain and distribution business.
Advising a listed company on the Tadawul on the sale (divestment) of its shares in one of the largest Saudi-listed companies.
