Biography

Bassem is a counsel at Helmy, Hamza & Partners, Baker McKenzie Cairo. He focuses on mergers & acquisitions, general corporate, restructuring and capital markets. He has experience in acquisition transactions, due diligence processes, drafting of pertinent reports and high-level issues reports, drafting of acquisition related documentation including share purchase agreements, shareholders’ agreements and escrow agreements.

Bassem, further, has experience in capital markets and advising on different sectors, including health care and renewable energy. Bassem received his bachelor of law from Cairo University in 2010 in addition to receiving his masters in economics and law from Hamburg University in 2018. He was admitted to Egyptian bar association in 2010.

  • Advised Eagle Chemicals on the MTO for the acquisition of Pachin.

  • Advised Fine Hygienic Holding on the acquisition of Easy Care group.

  • Advised the shareholders of Nerhadou International Egypt, a major nutraceutical group, on the restructuring of the group and sale of significant minority stake to two PE funds.

  • Advised the shareholders of Selah ElTelemz on the sale of a majority stake in the company to GEMS Egypt and Sovereign Fund of Egypt.

  • Advised Kuwait Food Company (Americana Group) on local law aspects, including preparing due diligence on the Group’s Egyptian assets, for the IPO and dual listing in ADX and Tadawul.

  • Advised Sanlam Life Insurance on the acquisition of Allianz Insurance Egyptian assets.

  • Advised EFG Hermes on the acquisition of 100% stake in Medizine Pharma, a major pharmaceutical manufacturing company.

  • Advised the shareholders of IDP Chemicals on the sale of 100% stake to a strategic investor.

  • Advised TFG Real Estate (First Group) on the acquisition of assets and restructuring of Sina Cola Group.

  • Advised A Development (a Reliance Logistics group company) on the joint venture with the Sovereign Fund of Egypt in relation to the development of the Ministry of Interior building.

  • Advised Tiger Global on the Seed Funding Round II of Axis Pay.

  • Advised Pharos Microfinance (Kashat) on Bridge Round and Series A Round.

  • Advised Tiger Global on the Seed Funding Round II of Axis Market B.V, a leading online brokerage firm.
