Baker McKenzie advised Hong Kong-listed Global New Material International Holdings Limited (“GNMI”) or the (“Company”), (stock code: 6616) on its issuance of RMB1.3 billion in Hong Kong dollar-settled convertible bonds and the concurrent repurchase of its outstanding convertible bonds.
The proceeds from the offering will be used primarily for debt refinancing, working capital, and general corporate purposes to further optimize the Company's capital structure, enhance financial stability, and support its continued business growth.
GNMI is a leading global new material technology platform enterprise, focusing on the research and development, manufacture and commercial application of surface performance materials.
In recent years, the Company has expanded its global footprint through the acquisitions of CQV in South Korea and SUSONITY in Germany (formerly Merck KGaA's Surface Solutions business), establishing an integrated global network of research and development, manufacturing and sales operations.
The Baker McKenzie team was led by partner Brian Wong, with support from Phoebe Wang and Jason Wong.
Baker McKenzie previously advised GNMI on its acquisition of SUSONITY, supporting the Company’s global expansion and long-term strategic growth. The Firm’s role in this latest transaction further reflects its longstanding relationship with GNMI and underscores the Company’s continued confidence in Baker McKenzie’s ability to execute complex cross-border transactions.
Commenting on the transaction, Brian said: " We are delighted to have once again supported GNMI on this significant financing transaction. Over the years, we have had the privilege of advising the Company on a range of strategic matters, from international acquisitions and capital markets transactions to global expansion initiatives. This transaction reflects both the Company's strong market position and investor confidence in its long-term growth ambitions as it continues to expand its global footprint. We are proud to serve as a trusted adviser to GNMI and look forward to supporting the Company as it reaches new milestones in its development."
