We have advised the shareholders of SnapSoft Kft., a cloud consulting company, on the partial sale of the company to U.S. financial investor NearSummit Capital.
Following the transaction, NearSummit Capital partnered with the existing shareholders in a joint structure, with the investment implemented through a holding company, resulting in a shared ownership position between NearSummit Capital and the original founders. The transaction was structured as a cross-border investment with a joint venture platform, requiring carefully designed governance arrangements to ensure balanced control between the parties. Baker McKenzie advised on all legal aspects of the transaction, including conducting legal due diligence, supporting the structuring of the investment, and leading the drafting and negotiation of the transaction documentation. The mandate also involved close coordination with US counsel and advisors.
