Biography
Bhalarp Vallayapet joined Baker McKenzie in 2012 and became a partner in 2025. She is a member of the Financial Services Practice Group.
She has been a visiting lecturer at the Faculty of Law, Chulalongkorn University for "Law on Derivatives," since 2017.
Practice Focus
Her practice focus is banking and finance, securities, derivatives and structured finance matters and her experience includes conducting legal research, providing legal analysis and advice, and coordinating with regulators on legal compliance matters.
Representative Legal Matters
- Representing and providing legal advice on legal frameworks for local and foreign financial institutions and securities companies in connection with their financial and capital market products, banking regulatory regime and practice, and other legal issues.
- Researching and analyzing legal issues in relation to Bank of Thailand regulations, Securities and Exchange Commission regulations, and other laws governing the operation of banking and finance businesses, such as the Civil and Commercial Code, the Financial Institutions Business Act, Securities and Exchange Act, Derivatives Act, Exchange Control Act, Anti-Money Laundering Act, Bankruptcy Act, and Personal Data Protection Act.
- Providing advice on legal frameworks in Thailand for cross-border transactions, offshore investments, collaboration schemes between offshore entities and local intermediaries for cross-border investments and private wealth management, as well as preparing comprehensive cross-border manuals for international financial institutions.
- Negotiate, draft, review, and advise on agreements, term sheets, marketing materials, and other legal documents, including global standardized agreements like ISDA Master Agreements.
- Setting up commercial banks and securities companies in Thailand, including completing the application process for banking licenses, securities licenses, and derivatives licenses and registrations for onshore and offshore entities.
