Biography
Paulina is an associate in Baker McKenzie’s New York office and a member of the North America Transactional Practice Group.
Practice Focus
Paulina advises domestic and foreign clients in connection with real estate and project financings, construction and leasing matters, and the sale and acquisition of energy and other infrastructure projects. Her experience also includes general finance transactions (including syndicated loans and asset-based lending transactions).
Representative Legal Matters
- Represented the sponsors in the project financing of USD 1 billion hydrogen production and storage project supported by a US Department of Energy’s USD 504.4 million loan guarantee.
- Advising a REIT on repeat real estate financings in connection with multiple million dollar rollups of various funds into its perpetual fund.
- Advised the world's largest independent cruise port operator on the closing of the Public-Private Partnership Agreement (PPP Agreement) for the San Juan Cruise Port in Puerto Rico and the USD 187 million project financing for the initial investment phase in the San Juan Cruise Port.
- Advised the lenders in negotiating a USD 110 million loan to finance the development of a student housing project.
- Advised the developer in the USD 630 million project financing of a portfolio of wind and solar projects across five states in the US.
- Advised the borrower in the USD 200 million financing of over 30 real estate properties across the US.
- Represented multinational life science company in the separation of 300+ properties globally as part of a spin-off of an existing business line.
- Represented multinational life science company in the separation of a key manufacturing facility as part of a spin-off of an existing business line. Such representation included preparation of detailed rules and regulations related to the shared use of the premises, together with in depth provisions related to cost-sharing, in particular with respect to improvements and alterations.
- Assist with ongoing construction advice and preparation of construction contracts for a nonprofit operating in hundreds of locations globally.
- Represented the project company in connection with the term conversion of its approximately USD 65 million construction loan facility for two stand-alone battery projects which together have an aggregate capacity of approximately 160 MWac.
- Advised the project company on a project financing for a BESS project with 400 MWh capacity in the ERCOT market in Texas.
- Advised an international company in a new USD 1 billion five-year unsecured credit facility with a syndicate of banks. In addition, advised the same company on a USD 500 million 364-day unsecured credit facility with the same syndicate of banks as the new five-year credit facility which was entered into on the same day.
