Biography
Heba Samy is a senior associate at Baker McKenzie's Cairo office. She focuses her practice on corporate law and has extensive experience in Egyptian business ecosystem legislation and regulations. With over 15 years of experience, including her prior role as a senior legal expert at the Egyptian Ministry of Trade and Industry, Heba brings deep regulatory insight to complex, cross‑border projects. She was recognized by Legal 500 for her contribution to the Employment practice as a “Leading Associate” in 2025.

Heba focuses her practice on corporate and commercial matters, with particular emphasis on employment, intellectual property, as well as real estate and hospitality mandates. She advises clients from various industries, helping them manage risk and achieve business objectives.
Representative Legal Matters
- Acted on the largest foreign direct investment (FDI) deal in Egypt’s history on behalf of the Egyptian government. This deal pertains to a massive real estate investment agreement with Abu Dhabi Developmental Holding Company PJSC (ADQ). As per the agreement, ADQ will obtain the development rights for Ras El-Hekma for USD 24 billion. Additionally, ADQ will transfer USD 11 billion of deposits that will be used to fund significant projects across Egypt to help support its struggling economy and address the hard currency crisis.
- Acted for the Egyptian Government in connection with the transformative Alam El Roum urban development partnership with Qatari Diar. Our role consisted of advising the Egyptian government on the sale and development of land value of USD 3.5 billion.
- Advised Elevate Capital on the pioneering public-private partnership with Gustave Roussy International, a transformative alliance that will reimagine the Hermel Dar El Salam Oncology Hospital as Gustave Roussy International Egypt, the institution’s first international cancer campus.
- Advised for Siemens Healthineers on the proposed acquisition of IEC Medical Systems S.A.E. as well as advising on the internal reorganization of Siemens Healthineers’ operations ahead of the acquisition.
- Acting for Hutchison Ports Europe Ltd. in connection with two container terminal port concessions located in El-Dekheila Port (Mediterranean Sea) and Sokhna Port (Red Sea), both in Egypt. The negotiation for both concession agreements were simultaneously run in quite a short time taking into account the differences that must be accommodated in each case given the different locations but most importantly given the different counterparties as grantor and investors for each concession.
- Advising British, American and Chinese multinational companies on various employment matters (such as employers’ obligations, employment termination, internships, disciplinary actions, profit sharing and end-of-service compensation).
- Advised Sixth of October Development and Investment Company (SODIC), a leading diversified real estate developer in Egypt, on its strategic partnership with global luxury hospitality brand Nobu Hospitality and on expanding the Nobu brand in Egypt. Under the partnership, the parties plan to develop two luxury hotels, branded residences, and the renowned Nobu restaurant across two of SODIC's distinguished developments in West Cairo and the North Coast.
