Biography

Jacqueline Rotondi is an associate in Baker McKenzie's Global International Commercial and Trade Group.

Practice Focus

Jacqueline has a broad commercial practice focusing on international trade, regulatory, competition and foreign investment law.

As part of her international trade practice, she advises companies on Canadian customs compliance, economic sanctions, trade remedies, free trade agreements, and other regulatory matters affecting the cross-border movement of goods. She also assists clients with establishing duty and tax effective supply chains when international businesses enter the Canadian market, including advising on the application of the transaction value method to purchasers in Canada.

Jacqueline also advises companies on Canadian competition law, with a focus on securing merger clearance in domestic, cross‑border and multi‑jurisdictional transactions. She also advises on competition compliance matters, including pricing, distribution and other trade practices, and counsels companies on public interest reviews under the Canada Transportation Act and foreign investment reviews under the Investment Canada Act, including net benefit, cultural and national security processes.

As part of her general commercial and regulatory practice, Jacqueline regularly advises on Canadian advertising and marketing law, product safety, and the regulatory landscape affecting the manufacture and sale of food, drugs, natural health products, cosmetics, pest control products, and consumer products.

International Trade

  • Represented importers in dumping/subsidization administrative reviews and expiry reviews before the Canada Border Services Agency and the Canadian International Trade Tribunal.
  • Represented multiple global technology companies in trade compliance verifications focused on valuation conducted by the Canada Border Services Agency.
  • Represented luxury retailers in trade compliance verifications focused on classification and valuation by the Canada Border Services Agency, including appeals of final determinations.
  • Advised importers on obtaining remission of surtaxes and anti-dumping and countervailing duties.
  • Advised companies on obtaining sanctions and export control permits.

Antitrust and Foreign Investment

  • Represented a US publicly-traded company on merger and foreign investment clearance in Canada for its USD 13.6 billion acquisition of a supplier to the energy, natural resources and industrial sectors.
  • Represented a multinational conglomerate on merger and foreign investment clearance in Canada for its USD 10 billion acquisition of an industrial chemicals company.
  • Represented a UK private equity firm on merger clearance in connection with its USD 3 billion acquisition of an industrial manufacturing company.
  • Represented a leading video game platform on Canadian foreign investment clearance, including securing cultural business approval.
