Arkadiusz Ratajczak
Biography
Arkadiusz Ratajczak is a counsel in the Sustainability and Energy Transition practice in Baker McKenzie’s Warsaw office, focusing on complex energy law matters across Poland and the broader Baltics and CEE region. With more than twenty years of experience, he combines private practice and public-sector experience to advise clients on legal and regulatory aspects of the energy transition. Prior to joining Baker McKenzie, Arkadiusz worked at a renowned energy law firm and served as Department Deputy Director at the Energy Regulatory Office. He also worked at the Office of the Committee for European Integration.
Practice Focus
Arkadiusz advises clients on Polish and EU energy law, regulatory compliance and energy-sector investments. His experience covers electricity and natural gas markets, REMIT compliance, power purchase agreements (including corporate PPAs), guarantees of origin, energy efficiency schemes and capacity market mechanisms. He regularly advises on nuclear, renewable energy, energy storage, waste-to-energy, smart grid and demand-side management projects, as well as regulatory aspects of M&A transactions, joint ventures and infrastructure investments. He also advises on regulatory aspects of cross-border energy projects and investments across the Baltics and Central and Eastern Europe.

- Advising ORLEN S.A. on regulatory matters and proposed amendments to the joint venture agreement for the 1.2 GW Baltic Power offshore wind project in Poland.
- Advised PreZero Polska sp. z o.o. on tender proceedings, the EPC contract and subsidy arrangements for a PLN 700 million waste-to-energy project in Włocławek.

- Regulatory analyses of European and global (US) power mechanisms
- Legal services for one of the largest electricity traders, particularly with regard to contracts for the sale of electricity from renewable sources, as well as certificates of origin of electricity, energy efficiency certificates, guarantees of origin and contracts for the provision of energy efficiency services
- Implementation of corporate solutions related to the obligation to ensure the integrity and transparency of wholesale energy markets under the REMIT regulation, together with analysis of cases of abuse in this regard in the EU and US energy markets
- Reports and analyses on the possibility and scope of application in energy markets of demand side control solutions (Demand Side Management, Demand Side Response) and regulatory aspects of the market use of energy storage facilities
- Advice on the rules of admissibility of state aid in connection with investments in the construction of nuclear power plants
