Izabela Puchalska
Biography
Izabela Puchalska joined the Firm in 2015. She is an associate in the Mergers & Acquisitions and the International Commercial & Trade Groups. She graduated from the Faculty of Law and Administration of Warsaw University in 2015.
She has participated in Firm-wide pro bono assignments. The first one consisted in translating the judgments of the European Court of Human Rights into Polish. Another one involved drawing up a comparison of domestic violence laws in selected countries against the best practices and model legislations, as part of the Global Rights for Women initiative.

Practice Focus
Izabela focuses on corporate, commercial and compliance matters. She has advised major multinational clients on corporate reorganization projects, such as post-acquisition integrations, domestic and cross-border mergers, spin-offs, carve-outs and cash repatriation programs, as well as mergers and acquisitions transactions and day-to-day corporate maintenance. Her compliance experience includes anti-money laundering regulations, beneficial ownership disclosures, as well as compliance due diligence and gap reviews. She also has considerable knowledge in all matters related to qualified electronic signatures.
Representative Legal Matters
- Advised on numerous domestic and cross-border M&A transactions, on the side of both the buyer and seller side, in various sectors, including IT, finance, real estate, services and manufacturing.
- Coordinated various local reorganizations (mergers, demergers, spin-offs, carve-outs, transformations, etc.) and advised on the Polish aspects of global reorganization projects, including pre-transaction restructurings, post-acquisition integrations and non-transactional transformations (numerous sectors, including IT, healthcare, real estate, tobacco and manufacturing).
- Assisted clients in making beneficial ownership determinations and filings on a local basis, preparing beneficial ownership documentation.
- Advised on the implementation and assessment of internal compliance practices, and corporate governance rules.
- Assisted clients in obtaining and installing the qualified electronic signatures.
