Biography

Izabela Puchalska is counsel in Baker McKenzie's Warsaw office, where she advises multinational companies and investors on cross-border M&A transactions and complex corporate reorganizations. She advises multinational companies and investors on domestic and cross-border M&A transactions and corporate reorganizations. Since joining Baker McKenzie in 2015, she has supported clients on acquisitions, integrations, carve-outs, mergers and other complex corporate projects across multiple jurisdictions. Izabela is actively involved in the Firm's pro bono initiatives and was recognized as a Thomson Reuters Stand-out Lawyer 2026.

Practice Focus

Izabela focuses on mergers and acquisitions, corporate reorganizations and general corporate advisory matters. She advises multinational corporations and private equity-backed businesses on acquisitions, post-acquisition integrations, domestic and cross-border mergers, demergers, transformations, carve-outs, spin-offs and corporate governance matters. Her experience includes coordinating multi-jurisdictional projects and advising on commercial and compliance-related aspects of corporate transactions. She regularly supports clients throughout the full lifecycle of strategic corporate reorganizations and M&A projects.

Representative Legal Matters

  • Advised Reckitt Benckiser on the Polish carve-out of its Home Essentials business preceding the GBP 4.8 billion divestment of a 70% stake in Essential Home to Advent.
  • Advised S&P Global Inc. on the global separation of its Mobility business into Mobility Global Inc., a complex cross-border carve-out and corporate reorganization involving coordinated implementation across multiple jurisdictions.
  • Advised a consortium of BNP Paribas Bank Polska S.A. and Bank Pekao S.A. on the EUR 160 million green loan refinancing of Mennica Towers in Warsaw, supporting corporate workstreams on a transaction requiring bespoke structuring due to complex ownership, insolvency and joint venture considerations.
  • Advised Mutares SE & Co. KGaA on its acquisition of Mimovrste d.o.o. and Internet Mall d.o.o. (Mall.hr) from Allegro Group, a cross-border transaction involving leading e-commerce platforms in Slovenia and Croatia and coordination of corporate and intellectual property workstreams across multiple jurisdictions.

 


Corporate Responsibility

Izabela has participated in Firm-wide pro bono assignments, including translating the judgments of the European Court of Human Rights into Polish and drawing up a comparison of domestic violence laws in selected countries against best practice and model legislation, as part of the Global Rights for Women initiative.

Since 2022, she has been actively involved in supporting the Women Entrepreneurship Foundation (Fundacja Przedsiębiorczości Kobiet), contributing to initiatives aimed at promoting entrepreneurship and supporting women in business.
