• Representing Catrion Catering Holding Company in its SAR 430 million acquisition of a majority stake in Al Khalejiah Catering Company.
• Advising Magrabi Hospitals & Centers in relation to its acquisition of a majority stake in a group of multiple clinics in Riyadh and in relation to its sale of a minority stake in Mayam LLC.
• Advising Dallah Healthcare Company in relation to the SAR 710 million purchase of a 18.98% stake in International Medical Center Company from KUN Investment Holding Company (by way of a share swap and cash consideration).
• Advised Dallah Healthcare on its acquisition of a majority stake in Care Shields Holding Company in consideration for the issuance of treasury shares in Dallah Healthcare (and the payment of a cash consideration amount).
• Advising Mohamed Yousuf Naghi Motors Company Ltd in (i) the acquisition of all assets from Al Jazirah Vehicles Agencies Company in connection with the Ford and Lincoln distributorship in the Western and South regions of Saudi Arabia and (ii) the negotiation and execution of the distribution arrangements with Ford and Lincoln in these regions.
• Advising Almarai Company in relation to their acquisition of 100% of Premier Foods from Alamar Foods CJSC.
• Advising the VFS Group in relation to an acquisition of Al Etimad Modern Business Solutions Company (“Etimad”), Modern Traveler Services Company (“Vega”) and Abyaar Modern Commercial Services Limited (“Abyaar”) by VF Worldwide Holdings Ltd. and VF Services (UK) Limited.
• Advising Taiba Holding Company in relation to the restructuring of its group resulting in Taiba Holding Company holding 100% in Al-Aqeeq Real Estate Development Company (Al-Aqeeq) and 99.52% in Arab Resort Areas Company (ARAC).

Antitrust & Competition

• Advising the General Authority for Competition (GAC) in relation to the preparation of the implementing regulation of the current Competition Law and the related benchmark exercise in 6 jurisdictions.

Merger Control

• Assisting Catrion Catering Holding Company with the merger control filing submitted to the General Authority for Competition (GAC) relation to in its SAR 430 million acquisition of a majority stake in Al Khalejiah Catering Company.
• Advising Alawwal Bank on the merger control process in connection with its merger with The Saudi British Bank (SABB), in a share for share merger valued at approximately USD 4.9 billion.
• Acting for a Swiss food group in relation to the first international merger control filing made with the Council of Competition in connection with its USD 11.85 billion acquisition of an entire global nutrition business.
• Assisting Alimak Group Management AB with the preparation and submission of a merger control filing to the General Authority for Competition in relation to its approx. EUR 500m acquisition of 100% of the Tractel Group.
• Advising Tanmiah Food Company, a publicly listed company active in the poultry industry, on a merger control filing with the General Authority for Competition in relation to the sale of its shares in two of its subsidiaries active in the agriculture/poultry sectors to a world-renowned US company.
• Advising Harman International on the merger control filing submitted to the GAC in relation to its USD 375 million acquisition by Wipro Limited of 100% of the shares of Harman Connected Services, Inc. from Harman International Industries, Inc.
• Assisting Olayan Financing Company (OFC) with the merger control filing submitted to the GAC in relation to its SAR 1.4 billion acquisition of 100% of the issued share capital in Salboukh Residential Compound Company.
• Advising Retal Urban Development Company on the application for a No Notification Required certificate in relation to its SAR 555 million acquisition of Al Fozan Holding’s 47.5% shares in Ajdan Real Estate Development Company.

Litigation

• Advising a Saudi group with the litigation proceedings initiated by the General Authority for Competition (GAC) in relation to an alleged cartel in the poultry industry.
• Assisting a Saudi gypsum manufacturer with litigation proceedings initiated by the General Authority for Competition (GAC) in relation to an alleged cartel in the gypsum industry.
• Assisting Panda Retail Company in the context of a litigation case initiated by the GAC for gun-jumping.

Investigations

• Assisting several companies in the context of an investigation initiated by the General Authority for Competition (GAC) in relation to an alleged cartel in the poultry industry.
• Advising several infant milk producers in relation to an investigation initiated by the GAC in relation to alleged vertical anti-competitive practices (resale price maintenance).
• Assisting a number of multinational groups across industries (ITC,FMCG, healthcare) with dawn raids and investigations conducted by the Saudi General Authority for Competition

Settlements

• Advising several infant milk producers in relation to the settlement process and agreements with the General Authority for Competition (GAC) in relation to alleged vertical anti-competitive practices (resale price maintenance).
• Assisting a distributor of retail electronics with the settlement process and agreements with the GAC in relation to alleged vertical anti-competitive practices (resale price maintenance and bundling).
• Advising a Saudi poultry company in relation to application for a settlement with the GAC in relation to an alleged cartel in the poultry industry.

Advisory and Compliance

• Drafting a Competition Compliance Handbook and Dawn Raid Guidelines for Modern Electronics Company.
• Assisting Galderma with the review of their contemplated commercial policy to be implemented with their distributors, from a Saudi Competition Law perspective.
• Assisting Epson Middle East with a competition compliance training to Epson in Saudi Arabia focusing on topics such as price-fixing, information exchange, dealing with customers, dominance.
• Advising multinational suppliers and distributors in relation to Saudi competition laws matters (e.g., prohibited practices, exclusivity, RPM, information sharing).
