Biography
Hala Mohamed is an associate at Baker McKenzie Cairo - Helmy, Hamza & Partners. Her practice focuses on mergers and acquisitions as well as general corporate matters. She has previously advised both buyers and sellers on local and cross-border M&A transactions. Hala received her Bachelor’s degree (LLB) from the University of Liverpool.
Practice Focus
Hala focuses her practice on all legal aspects relating to M&A deals, including preparation of legal due diligence reports and drafting of various transaction documents such as share purchase agreements and shareholders' agreements. She has represented private equity firms, banks as well as multinational corporations.
Representative Legal Matters
- Acted as the sell-side legal counsel for United Bank during their Initial public offering (IPO) deal. Hala provided comprehensive legal advice and due diligence on the various legal documents and overall support throughout the IPO process and ensured compliance with regulatory requirements.
- Advised ME Solaris Commodities (along with a co-investor) on the acquisition of a majority stake in a regional commodities and stevedoring company. The transaction was complex as it included both local and cross-border elements.
- Acted as buy-side legal counsel for a private equity firm "Amethis" on its acquisition of a majority stake in KTG, a leading textiles, apparel and manufacturing group headquartered in the United Kingdom.
- Advised a consortium led by Africinvest, a leading African private equity firm, in connection with the sale of a stake in a group of companies operating the digital payment cards sector. The transaction reflects the growing appetite for scalable digital financial services across Africa and the Middle East.
- Acted for Saudi Pharmaceutical Industries and Medical Appliances Corporation (SPIMACO) in its acquisition of a significant 68.0% stake in Swiss Pharmaceutical firm Osmopharm. This deals involves a strategic share swap and cash consideration for the divestment of majority stake in SPIMACO Misr for Pharmaceutical Industries.
