Biography

Cyerra McGowan is a mid-level associate in Baker Mckenzie's North America Transactional Practice Group. Cyerra represents clients in the areas of public and private offerings of debt and equity securities, public company securities law compliance, and corporate governance.

Prior to joining Baker McKenzie, Cyerra was an associate at another law firm, where she advised on public and private offerings of debt and equity securities, supported securities matters in public M&A transactions, counseled clients on Exchange Act reporting requirements, and provided guidance on corporate governance concerns.

Cyerra also has an active pro bono practice. She has advised, among others, individuals seeking asylum or U-Visa status in the United States, as well as guardian ad litem matters. Cyerra has also advised 501(c)(3) in connection with corporate governance matters and federal tax-exempt status requirements.

Cyerra counsels public and private companies, as well as foreign private issuers, on a broad range of capital markets transactions, including public and private offerings of debt and equity securities. She regularly advises public companies and their boards on SEC reporting and disclosure obligations, corporate governance matters, and securities law issues that arise in connection with mergers and acquisitions.

  • Represented NYSE-listed manufacturing company on capital markets matters in connection with the separation and spin off of its steel processing business into a separate public company.
  • Represented NYSE-listed multi-tenant REIT in connection with the establishment of its at the market (ATM) equity offering program.
  • Represented various NYSE-listed companies in connection with drafting and filing Form S-3 with the Securities and Exchange Commission.
  • Represented several NYSE and Nasdaq-listed companies in ’33 and ’34 Act compliance, listing exchange requirements, general corporate governance, and board of directors’ matters.

  • Represented global attractions and hospitality company in connection with a mandatory conversion of its preferred stock into common stock. including coordinating with the transfer agent to manage the conversion process and the issuance of common shares.

  • Represented Nasdaq-listed commercial-stage therapeutics company on capital markets matters in connection with the sale of one of its business units.
