Biography
Shelly Kuo is an associate in Baker McKenzie’s New York office and a member of the North America Transactional Practice Group and Banking & Finance Practice Group.
Practice Focus
Shelly advises borrowers, private equity sponsors, banks and other financial institutions in a variety of financing transactions, including first and second lien credit facilities, asset-based loans, cross-border and domestic acquisition financings and debt restructuring transactions.
Representative Legal Matters
- Represented Scholastic Inc. in connection with the third amendment to its $400 million amended and restated credit agreement with Bank of America, N.A., as administrative agent.
- Represented Bourque Data Systems Inc. in connection with a first lien credit facility and note purchase agreement to finance its acquisition of AllTranstek, L.L.C.
- Represented New Water Capital, L.P. in connection with asset-based and term loan facilities to finance its acquisition of Dutch Gold Honey.
- Represented Calera Capital Advisors, L.P. in connection with first lien and subordinated credit facilities to finance its acquisition of Nocturne Luxury Villas, Inc.
- Represented KB Home in connection with its $1.2 billion revolving credit facility with Bank of America, N.A., as administrative agent, and its amended and restated $360 million senior unsecured term loan facility with Wells Fargo Bank, National Association, as administrative agent.
- Represented J-Power USA in connection with the project financing and development of a 495 MWac solar photovoltaic energy project.
- Represented Jupiter Power LLC in connection with the term conversion of construction loan facilities and debt and tax equity financing for stand-alone battery projects.
