Biography
Natalie Karl is an associate in the Transactional Practice Group in Baker McKenzie’s Los Angeles office. Natalie advises clients on a wide range of transactional matters, including financings and mergers and acquisitions.
Practice Focus
Natalie's practice focuses on private and public financings and mergers and acquisitions. She advises clients on a variety of transactions, including establishment of credit facilities, public debt offerings, private placements, acquisitions and dispositions, and investments. She represents public and private borrowers across a broad range of industries in corporate revolving and term loan facilities, private equity fund subscription lines, margin loans, asset-based facilities and acquisition finance. Natalie also represents issuers and investors on a variety of debt and equity transactions. She advises issuers in public offerings and private placements of debt and other securities. Natalie regularly counsels issuer and borrower clients as to compliance matters and the structuring of proposed transactions in the context of complex contractual and other restrictions. She represents buyers and sellers in mergers, acquisitions and divestitures and advises private equity funds and companies on a broad range of private transactions and corporate governance matters.

- Berkshire Hathaway Inc. in over USD 17 billion of issuances of its registered debt securities in multiple currencies and its credit facility matters
- Oaktree Capital Management (over USD 200 billion in assets under management) in connection with its revolving credit facility and various private notes offerings totaling over USD 1.3 billion
- Edison International and its subsidiary Southern California Edison in connection with over USD 4.8 billion in revolving credit facilities, various term loan facilities, and the public offering of trust preferred securities
- Nexus Capital Management in secured financings for its portfolio companies
- Acuity Brands, Inc. with respect to its revolving credit and term loan facility
- KB Home in connection with its revolving credit and term loan facilities
- Company founders and family offices with respect to margin and other stock-secured loans
- James Campbell Company, a privately owned real estate company, in financing transactions
- Ultra high-net-worth individual’s family office with respect to restructuring of portfolio company debt and equity
- North American lender in its secured equipment loan and lease products
- Healthcare of Ontario Pension Plan Trust Fund in connection with equity investments and secured loans to late-stage US private technology companies
Mergers & Acquisitions:
- Intel Corp. in its USD 9 billion sale of its NAND memory chip business to SK hynix
- PG&E in its USD 973 million sale of transmission tower wireless licenses to SBA Communications
- Nexus Capital Management in its acquisition of HDT Global, a defense contractor, and in the merger of Natural Balance Pet Foods with Canidae Pet Foods
- The two largest investor-owned public utilities in the US in connection with the structuring and potential sale of interests in certain of their businesses with an aggregate value in the USD billions
- Envoy Solutions, LLC, a diversified distribution company and subsidiary of Fomento Economico Mexicano, S.A. de CV (FEMSA) in a number of transactions, including:
- Its acquisition of Kalamazoo Sanitary Supply Inc. dba KSS Enterprises, based in Kalamazoo, Michigan
- Its acquisition of Penn Jersey Paper Co., based in Philadelphia, Pennsylvania
