Warittha's practice focuses on complex and heavily regulated capital market work, in particular securities law and regulations of the Stock Exchange of Thailand (SET), encompassing both transactional and advisory aspects. Her specialization spans a wide spectrum, from complex capital market work to niche areas, including public M&A, takeovers, securities offerings, IPO, delisting and restructuring, legal advice to financial institutions and High Net Worth clients on niche matters (including advanced products, algorithmic trading, high-frequency trading and short sale), family business, and private wealth matters.

Mergers & Acquisitions

• Advised SCG Logistics Management Co., Ltd., a logistics business operating subsidiary of Siam Cement Public Company Limited which is one of the largest companies listed on the Stock Exchange of Thailand, and JWD InfoLogistics Public Company Limited, one of the leading logistic business operator listed on the Stock Exchange of Thailand, on their business merger by way of share swap, private placement and Whitewash, with a transaction value of THB 1.9 billion.

• Advised ERGO Group, a primary insurance arm of Munich Re, a German multinational insurance company based in Munich with its shares listed on German stock exchanges, in its acquisition and delisting of shares in Nam Seng Insurance Public Limited Company, a Thai insurance company with its shares listed on the Stock Exchange of Thailand, through ThaiSri Insurance Public Limited Company, a Thai insurance company within ERGO Group, with a transaction value of over THB 2.98 billion.

• Advised Srisawad Corporation PCL (SAWAD), one of the largest retail loan business companies listed on the Stock Exchange of Thailand, and Srisawad Finance Public Company Limited (BFIT), one of the leading finance business operator listed on the Stock Exchange of Thailand, on an entire business transfer of Srisawad Capital Company Limited (SCAP) to BFIT by way of share swap, and private placement, with a transaction value of THB 1.8 billion.

• Advised Minor International Public Company Limited, a public limited company listed on the Stock Exchange of Thailand, in relation to regulatory advice and relevant corporate approval process in connection with the THB 66 billion investment in shares in NH Hotel Group, S.A., a company listed on Madrid Stock Exchange, by way of a block share acquisition and launching a Takeover Bid.

• Advised Singha Estate Public Company Limited on its acquisition of 55% stake in Daii Group Public Company Limited. This deal is worth THB 3.5 billion and deal involved subscription of new shares issued by the target in exchange for assets and 100% stake in subsidiary of the client, mandatory tender offer and restructure of the group company after completion of the acquisition.

Capital Markets

• Advised SCG Chemicals Public Company Limited, one of the largest integrated petrochemical companies in ASEAN and a key industry leader, on its spin off and IPO of no more than 3,854,685,000 shares in the Stock Exchange of Thailand and offering to investors in the domestic and international markets under Rule 144A and Regulation S.

• Advised SCG Packaging Public Company Limited on its spin off and IPO of 1,127.5 million shares in the Stock Exchange of Thailand under the exemption of Regulation S of the US Securities Act 1933, having the value of THB 39.5 billion (USD 1.3 billion), with offerings to institutional investors, Cornerstone Investors and international investors. The offering is Thailand’s second largest IPO in 2020. This deal was awarded IPO Deal of the Year by SET Awards 2021.

• Advised Dhipaya Insurance Public Company Limited on its landmark deal of re-listing and group restructuring and re-organization into a listed holding company (Dhipaya Group Holdings Public Company Limited). The deal involved an offering and a tender offer for all shares in Dhipaya Insurance Public Company Limited.
