Biography

Natsuda is a partner in the Corporate and M&A practice group, having joined Baker McKenzie in 2012. She is currently active in the healthcare and lifesciences, energy, and industrials, manufacturing and transportation sectors.

Practice Focus

Natsuda has been involved in executing complex and high profile mergers and acquisitions, carve-out transactions and corporate restructuring, as well as advising on business integration plans. She also regularly advises on corporate law matters, issues relevant to foreign investors, notably foreign investment laws, establishment and restructuring of business operations and company structures. Natsuda actively practices in the healthcare and lifesciences, energy, and industrials, manufacturing and transportation sectors.

Representative Legal Matters

  • Assisted Mars in the acquisition of all of the shares in Phyathai 7 Group Company Limited, the owner and operator of a group of veterinary hospitals in Bangkok. This acquisition is a landmark acquisition for Mars in the vet hospital space, making it the first vet hospital group of Mars in Thailand.
  • Assisted a conglomerate with its investment in the medical glove business by acquiring the shares of a medical glove manufacturer in Thailand, including advising on the transaction structure, conducting legal due diligence, advising on the required FDA and other licenses and permits, and drafting and negotiating the transaction agreements.
  • Assisted the owners of Thailand’s leading vegetable and fruit-based food products manufacturer with their sale of the shares in the company to a leading PE fund specialized in investments across the food value chain.
  • Assisted Super Energy Group (Hong Kong) Co., Limited, a subsidiary of Super Energy Corporation Public Company Limited, with the sale of 49% interests in project companies operating solar power plants in Vietnam.   
  • Represented a Thailand-based company engaged in energy, power and natural resources industry in relation to its acquisition and off-market takeover of shares in a listed international petroleum exploration and production company on the ASX and managing the completion of cross-border closing transactions.
  • Assisted a multinational chemical and coatings supplier with the Thai aspect of the sale of one of its core businesses globally. The transaction includes the establishment of a new subsidiary in Thailand, a pre-completion spin-off of its remaining businesses which involved the transfer of assets and employees and various complex licensing applications, and the sale of the shares in its Thai entity.
